Party B will develop key circuits verification for the Solution and will be in charge of general thought plan.The following articles are reached and abided by the both parties.甲方委托乙方设计智能收发验证系统技术方案，乙方将设计开发方案的验证电路及负责整体思绪的建立，为此订立以下协议，并由双方共同恪守。Article 1 Definitions第一条 定义1.1 Technique Proposal Of Smart T/R Verification System (hereinafter referred to as “the Solution”) shall mean all the required techniques to construct the general idea which will commit the attached technical requirements. The Solution shall include all technical details of all designing schemes and experimental verification for key circuits.智能收发验证系统技术方案（以下简称“方案”），是指设计满足附件规定的总体技术方案，所需要的解决方案。该解决方案涉及所有设计方案资料及关键电路验证技术资料。1.2Technical documentations shall mean all the necessary documents to design the Solution and all the verification documents that Party B will use in designing the Solution.技术资料，指研发解决方案所必需的资料，包含乙方在设计方案的过程中，所使用的所有有关验证技术资料。1.3 “R&D” shall mean research and development.“R&D”，是指研究和开发。1.4”T/R”shall mean transmit and receive. “T/R”，是指发射和接受。1.5”Soc”shall mean system on chip.“SOC”,是指系统级芯片。1.6”ASIC”shall mean application specific integrated circuit.”ASIC”,专用集成电路。Article 2 Contents & scopes of contract第二条 协议内容和范围2.1 The requirements of the contract Solution协议技术方案规定2.1.1 Technical Content技术内容:(1)Design technical proposal; 设计技术方案；(2)Key circuits verification;验证关键电路；(3)Detailed technical requirements see technique attachment.具体技术规定见技术协议附件。2.1.2 Technical Method and Strategy技术方法和路线:(1)Should adopt SOC and ASIC technology;采用SOC和ASIC技术；(2) Should adopt the smart T/R system to verify the key circuits.采用智能收发组件系统对关键电路进行实验验证。2.2 The obligations of both parties 双方义务2.2.1 Party B shall submit the R&D plan to Party A within two months after this contract comes into effect.乙方应在本协议生效后2个月内向甲方提交研究开发计划。2.2.2 Party B shall accomplish the Solution design work according to the following schedule：乙方应按下列进度完毕方案设计工作：(1)Phase one第一阶段：1) Initialization phase: select foundary, obtain design documents, analyze process files, establish computer system, rent and purchase EDA software, primary communicate design thought of verification circuits and general Solution;启动阶段：晶圆厂的选定、设计文献的获得、工艺文献的分析、计算机系统的建立、EDA软件的租用及购买、验证电路与整体方案设计思绪的初步沟通；2)Design phase: module division of chip, principle design, computer simulation, layout design;设计阶段：芯片的模块划分、原理设计、计算机仿真、版图设计；3)Test phase: primary test and consecutive test.测试阶段：初测及继续测试。(2)Phase two: Alter the Solution according to the first phase results, and start second run.第二阶段：根据第一阶段测试结果对方案进行修改，同时配合总体设计进行修改。2.2.3With the both parties confirmation and on the request of Party A, Party B shall provide technical guidance and training to the personnel designated by Party A or provide the technical service related in the fulfillment Solution after the Solution is qualified by the verification circuits. 双方拟定，乙方应在协议方案的关键电路验证合格后，根据甲方的请求，为甲方指定的人员提供技术指导和培训，或提供与完毕方案相关的技术服务。2.2.4 With the confirmation of the both parties, within the validity of the Contract, Party A shall designate as Party As project contact person. Party B shall appoint as Party Bs project contact person. If any changes of the contact person occur, one party shall inform the other party based on written materials in due time. If one party fails to promptly inform the other party, it shall be held responsible for any influence or damage caused by the untimely notification during the performance of the Contract.双方拟定，在本协议有效期内，甲方指定 为甲方项目联系人，乙方指定 为乙方项目联系人，一方变更项目联系人的，应当及时以书面形式告知另一方。未及时告知并影响本协议履行或导致损失的，应承担相应的责任。2.3 Delivery交付Party B shall deliver the contract Solution to party A in accordance with the contents as specified in item 2.2.2 of the contract.乙方应按本协议条款2.2.2规定的内容，将协议方案技术资料交付甲方。2.4 Assessment & Acceptance协议方案的验收Confirmed by the both parties, Party A shall adopt the signed standards and methods to examine and accept the contract Solution by Party B.双方拟定，按所签订的验收标准对乙方完毕的协议方案技术进行验收。2.4.1 To ensure that the contract Solution supplied by party B is correct， reliable and advanced， Party A,B shall jointly perform the assessment and acceptance of the technical Solution and core circuit in accordance with the provisions of items 2.1-2.3 of the contract and technique attachment. if the technical Solution are qualified, both parties shall jointly sign a certificate of acceptance in two copies，one for each party.为了保证乙方提供协议方案的对的性、可靠性和先进性，由甲乙双方技术人员一起，按本协议2.1-2.3及技术协议附件规定，共同对技术方案设计和核心电路进行考核和验收.考核验收合格后，双方代表要签署验收合格证书一式两份，双方各执一份为凭。2.4.2 If the Solution cannot meet the requirements of the contract, both parties shall hold friendly discussions to analyze the reasons and take measures to correct any defect and prepare for the second assessment and acceptance of the contract Solution. If the Solution are still not qualified after the second assessment and acceptance and the responsibility lies in Party B ,Party B shall be responsible for all the losses thus caused, Party A shall have the right to terminate the contract and raise a claim against Party B according to Article 6； if the responsibility lies in Party A, both parties shall mutually discuss the further implementations of the contract.假如考核验收达不到本协议的规定规定，则双方要和谐协商，共同研究分析因素，采用措施，消除缺陷，进行第二次的考核和验收。若通过第二次考核仍不合格，如属乙方责任，则乙方应承担由此而导致一切损失，甲方有权终止协议并按第6条的规定由甲方向乙方索赔，如属甲方责任，则双方应共同协商本协议的进一步执行问题。2.5 Contract technical Solution results and related intellectual property ownership 协议技术方案研发成果及相关知识产权的归属Confirmed by the both parties, the technical Solution results and related intellectual property right generated from the Contract shall be settled by the following methods.双方拟定，因履行本协议所产生的研究开发成果及其相关知识产权权利归属，按以下式解决：2.5.1 Party A has the right to apply for the patents. The use and the relevant allocation of benefits after obtaining the patent right are as following: Party A will own the patent right and benefits . 甲方享有申请专利的权利。专利权取得后的使用和有关利益分派方式如下：专利权为甲方所有，利益归甲方所有。 2.5.2 The profit caused from the use and transfer of the ownership of patent right shall be dealt by the following ways:有关使用和转让的权利归属及由此产生的利益按以下约定解决: (1) The right to use technical secret: Owned by party A;技术秘密的使用权:归甲方所有；(2) The right to transfer technical secret: Owned by party A;技术秘密的转让权:归甲方所有；(3) The method to allocated the relevant benefits: Owned by party A;相关利益的分派办法:归甲方所有。2.5.3 The owner of the physical fixed property which were bought by Party B rights of equipments, instruments procured with the funds of research and development is Party B 。乙方运用研究开发经费所购置与研究开发工作有关的设备、仪器等实物固定财产，归 乙 方所有。2.5.4 With the both parties confirmation, Party A has the right to utilize the research and development achievements provided by Party B in accordance with the stipulation in the Contract to make follow-up improvement. Thereby the new technologic achievements with the feature of substantial or creative technology progress and its right adscription shall be shared by Party A . The detailed allocation of the related benefits shall be as follows: Owned by party A。双方拟定，甲方有权运用乙方按照本协议约定提供的研究开发成果，进行后续改善。由此产生的具有实质性或发明性技术进步特性的新的技术成果及其权属，由 甲 方享有。具体相关利益的分派办如下： 归甲方所有。2.5.5 After the accomplishment of the R&D works stipulated in the Contract, Party B has the right to take use of the research and development achievements to make follow-up improvement. Thereby the new technologic achievements with the feature of substantial or creative technology progress shall be owned by Party B . The detailed allocation of the related benefits shall be as follows: Owned by Party B.乙方有权在完毕本协议约定的研究开发工作后，运用该项研究开发成果进行后续改善。由此产生的具有实质性或发明性技术进步特性的新的技术成果，归 乙 方所有。具体相关利益的分派办法如下： 归乙方所有。Article 3 Contract price第三条 协议价格3.1 According to the contract contents and scopes as specified in Article 2, the total price of the contract Solution provided by Party B including the designs, drawings, technical service and training shall amount to 按第二条所规定的协议内容和范围，乙方所提供的协议方案涉及设计方案、设计图纸、技术服务和技术培训等的所有资料总价格为 美元。3.2 The above contract price is fixed and shall include the expenses of all the technical documentation specified in Article 2 of the contract. Such contract price shall also include the expenses for party B to carry out the other contract obligations of this contract.上述协议的价格为固定价格，涉及本协议第二条所规定的所有技术资料。该价格涉及乙方在本协议中所承担的其他义务的所有费用在内。3.3 All the calculations and payment of expenses of this contract shall be in US dollars.本协议内的一切费用均以美元计算和结算。Article 4 Payment & Payment conditions第四条 支付与支付条件4.1 Initialization expenses after contract signing: Party A shall pay eighty thousand dollars to Party B;协议签订后启动费用：甲方支付乙方8万美元； 4.2After the whole primary Solution provided by Party B is qualified, Party A shall pay one hundred and twenty thousand dollars to Party B;乙方整个初步方案通过后，甲方支付乙方12万美元;4.3After selecting foundary , Party A shall pay one hundred and fifty thousand dollars to Party B;选定晶圆厂后，甲方支付乙方15万美元；4.4After providing the design Solution and simulated results, Party A shall pay three hundred thousand dollars to Party B;提供设计方案及模拟结果后，甲方支付乙方30万美元；4.5After providing verification circuits and qualified, Party A shall pay eight hundred and seventy thousand dollars to Party B.测试电路提供后并验证了电路后,甲方支付乙方87万美元。Article 5 Infringements and Confidentiality第五条 侵权和保密 5.1 Party B guarantees that the Solution supplied by each party without any interference or charge from any third party. In case of any interference or charge from a third party, they shall be handled by each party and the third party. the responsibility and loss, either legally or economically， shall be borne by party B.乙方保证所提供的总体方案不受任何第三者干涉和指控。假如发生第三者干涉和指控，则由乙方负责同第三者进行交涉，并由其承担法律上和经济上的所有责任和损失。5.2 After termination of the contract term, Party A shall still have the right to use the Solution and technical documentations to manufacture relevant products.在本协议终止后，甲方仍有权继续使用乙方提供的技术方案和所有技术文献进行相应产品的生产。Article 6 Guarantees and Claims第六条 保证和索赔 6.1 With the both parties confirmation, either party breaches the Contract and thereby causes a standstill, delay or failure in research and development work, the responsible Party shall undertake the responsibility according to the following stipulations双方拟定：任何一方违反本协议约定，导致研究开发工作停滞、延误或失败的，按以下约定承担违约责任: (1)If Party A breaches Article 4 in the Contract, the responsible party shall pay pursuant to the amount of ten percent (10%) of the contract price (methods for computing the amount of breach of contract damages and the compensation for losses).甲 方违反本协议第 4 条约定，应当 按协议总额的10%补偿支付 （支付违约金或损失补偿额的计算方法）。 (2)If Party B breaches Article 2 ,4 or 5 in the Contract, the responsible party shall pay pursuant to the amount of ten percent (10%) of the contract price (methods for computing the amount of breach of contract damages and the compensation for losses).乙 方违反本协议第 2 、4或者 5 条约定，应当 按协议总额的10%补偿支付 （支付违约金或损失补偿额的计算方法）。6.2 As for the liability for risks involved in a failure or partial failure in research and development caused by insurmountable technical difficulties under the current technology and condition occurring in the process of performance of the Contact, it shall be undertaken by the both parties in accordance with the following stipulations: undertaking by both sides appointments, appointments first .Confirmed by both parties, the technical risk stipulated in the Contact shall be assessed in the manner of acquirements of authority accepted . The main content of the technical risk assessment shall include its existence, scope, degree, loss and so on. The technical risk assessment should have the following basic conditions：在本协议履行中，因出现在现有技术水平和条件下难以克服的技术困难，导致研究开发失败或部分失败，并导致一方或双方损失的，双方按如下约定承担风险损失：双方约定承担，约定优先 。双方拟定，本协议项目的技术风险按 当事人认可的专家权威机构确认 的方式认定。认定技术风险的基本内容应当涉及技术风险的存在、范围、限度及损失大小等。认定技术风险的基本条件是：(1)The technique mentioned in the Contract is difficult enough for the present technologic level; 本协议技术在现有技术水平条件下具有足够的难度；(2)Party B subjectively commits no fault and the failure of research and development is considered by experts as reasonable. 乙方在主观上无过错且经认定研究开发失败为合理的失败。6.3 Once one party discovers that the situation is likely to cause a failure or partial failure in research and development, the Discoverer shall inform the other party of the situation within five days and take appropriate measures to reduce losses. If one party fails to inform the other party in due time and take appropriate measures and as a result the losses are aggravated, the responsible Party shall bear the liability for the aggravated part of the losses.一方发现技术风险存在并有也许致使研究开发失败或部分失败的情形时，应当在 5 日内告知另一方并采用适当措施减少损失。逾期未告知并未采用适当措施而致使损失扩大的，应当就扩大的损失承担补偿责任。6.4 In the performance of the contract, the technology which is the object of a research and development has been made public by others (including the form of patent). One party shall notify the other party to rescind the contract within three days. If one party fails to inform the other party in due time and as a result the other party losses occur, the other party has right to claim compensation for its losses.在本协议履行中，因作为研究开发标的的技术已经由别人公开（涉及以专利权方式公开），一方应在 3 日内告知另一方解除协议。逾期未告知并致使另一方产生损失的，另一方有权规定予以补偿。Article 7 Taxes and Duties第七条 税费Any tax relating to the implementation of the contract imposed shall be afforded by each party respectively.甲乙双方将各自承担所在国（地区）所应支付的税费。Article 8 Force Majeure第八条 不可抗力Force majeure shall refer to war, flood, fire, typhoon, earthquake and other accidents that both parties mutually agree as force majeure. In case of force majeure, the affected party shall notify by telex or cable the other party of the accident as soon as possible and send by registered air - mail to the other party the evidence issued by the local government within 14 days from the accident. if the implementation is affected by force majeure and the accident lasts for more than 20 days, both parties shall hold friendly discussions as soon as possible with regard to the further implementation of the contract.人力不可抗力的因素，如战争、严重水灾、火灾、台风、地震，以及双方批准的其别人力不可抗力因素。发生人力不可抗力的责任方应尽快将发生人力不可抗力事故的情况，在尽也许短的时间内，用电传或电报告知另一方，并于事后14天内，以航空挂号信将有关政府当局出具的证明文献给另一方，予以认证。因发生不可抗力而影响了协议的执行，假如事故延续20天以上，则双方应尽快通过和谐协商方式协商协议的进一步执行问题。Article 9 Arbitration第九条 仲裁All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Beijing) in accordance with its Arbitration Rules .The arbitration shall take place
