鉴于甲方具有生产并销售医疗器械的资质和能力，乙方有意向购买甲方的医疗器械产品，在双方平等、自愿的基础上，经协商一致，达成以下供货合同：
一、货物品种、规格和数量：
1.甲方应按乙方订单要求供应以下医疗器械产品（具体清单请见附件一），品种、规格和数量应符合国家标准和乙方需求。
2.乙方在订单中应明确每次采购的产品品种、规格和数量，双方确认后履行合同。
二、交付期限：
1.甲方应按照乙方的订单要求，在合同签订后的15个工作日内将货物送达乙方指定地点。
2.如有特殊情况导致交付延误，甲方应提前书面通知乙方，并经双方协商处理。
三、价格与支付方式：
1.双方本着互利共赢的原则，对医疗器械产品的价格进行协商确定，价格单独载明于附件二。
2.乙方在收到货物后应在10个工作日内支付全部货款，支付方式为银行转账或现金支付。
四、质量保证：
1.甲方承诺所提供的医疗器械产品符合国家相关标准和规定，品质合格。
2.如乙方在使用过程中发现产品质量问题，应及时通知甲方，甲方将负责调查并解决问题。
五、违约责任：
1.任何一方未履行合同义务造成损失的，应承担违约责任，并赔偿对方因此造成的全部直接损失。
2.如因不可抗力等特殊情况导致合同无法履行，可免责，但需提前书面通知对方。
六、其他事项：
1.本合同自双方签字盖章后生效，合同有效期为一年，届满后双方若无异议可续签。
2.本合同一式两份，甲乙双方各执一份，具有同等法律效力。

Whereas Party A has the qualification and capability to produce and sell medical devices, and Party B intends to purchase medical devices from Party A. Based on the principle of equality and voluntariness, the two parties have reached the following supply contract through negotiation and agreement:
1. Variety, Specifications, and Quantity of Goods:
1. Party A shall supply the following medical devices to Party B according to Party B’s order requirements (please refer to Appendix 1 for the specific list), and the variety, specifications, and quantity shall comply with national standards and Party B’s needs.
2. Party B should specify the product variety, specifications, and quantity for each purchase order, and the contract shall be fulfilled after mutual confirmation.
2. Delivery Deadlines:
1. Party A shall deliver the goods to the designated location of Party B within 15 working days after the contract is signed according to Party B’s order requirements.
2. In case of delays due to special circumstances, Party A shall notify Party B in writing in advance and handle it through mutual consultation.
3. Price and Payment Terms:
1. Both parties shall negotiate and determine the price of medical devices based on the principle of mutual benefit and win-win, and the price shall be separately stated in Appendix 2.
2. Party B shall pay the full payment within 10 working days after receiving the goods, and the payment method shall be bank transfer or cash payment.
4. Quality Assurance:
1. Party A guarantees that the provided medical devices comply with national standards and regulations and are of good quality.
2. If Party B discovers any quality issues during the use, Party B should notify Party A in a timely manner, and Party A will be responsible for investigating and resolving the issue.
5. Breach of Contract Liability:
1. If either party fails to fulfill its contractual obligations and causes losses, it shall bear the liability for breach of contract and compensate the other party for all direct losses incurred as a result.
2. In cases where the contract cannot be fulfilled due to force majeure or other special circumstances, the parties shall be exempted from liability but shall notify the other party in writing in advance.
6. Other Matters:
1. This contract shall take effect upon signature and seal of both parties and shall be valid for one year. It can be renewed upon agreement without objection from both parties.
2. This contract is made in duplicate, with each party holding one copy, and has the same legal effect.

七、协议终止：
1.本合同有效期届满后，若未续签或续签协议谈判不成功，则合同自动终止。
2.未经对方书面同意，任何一方不得擅自解除本合同，否则需承担违约责任。
3.合同任何一方如因违反合同规定造成对方经济损失的，应承担赔偿责任。
八、争议解决：
1.在履行本合同过程中，若发生争议，双方应友好协商解决；协商不成的，提交甲方所在地人民法院诉讼解决。
2.本合同适用中华人民共和国法律，且无约定的事项参照有关法律法规处理。
九、附则：
1.本合同相关附件为本合同不可分割的部分，具有同等法律效力。
2.本合同中未涉及的问题，双方可协商一致通过补充协议解决，补充协议与本合同具有同等效力。
十、合同生效：
1.本合同自双方签字盖章后生效，合同中不可修改的条款应由双方共同签署确认。
2.本合同的传真件、复印件与原件具有同等效力。

7. Termination of the Agreement:
1. If the contract is not renewed upon expiration or the negotiation for the renewal is unsuccessful, the contract shall automatically terminate.
2. Neither party shall unilaterally terminate the contract without the written consent of the other party, otherwise, they shall bear the liability for breach of contract.
3. If either party causes economic losses to the other party due to violation of the contract, they shall be liable for compensation.
8. Dispute Resolution:
1. In the event of a dispute during the performance of this contract, the parties shall resolve it amicably through friendly negotiations. If no agreement can be reached, the dispute shall be submitted to the People's Court at the location of Party A for litigation.
2. This contract shall be governed by the laws of the People's Republic of China, and matters not stipulated in the contract shall be handled in accordance with relevant laws and regulations.
9. Supplementary Provisions:
1. The attachments related to this contract are an integral part of this contract and have the same legal effect.
2. For matters not covered in this contract, the parties may reach a supplementary agreement through mutual consultation. The supplementary agreement shall have the same effect as this contract.
10. Effectiveness of the Contract:
1. This contract shall take effect upon the signature and seal of both parties, and the terms that cannot be modified in the contract shall be jointly signed and confirmed by both parties.
2. The faxed, photocopied, and original copies of this contract shall have the same legal effect.

11. Place and Date of Signature:
1. The place of signature of this contract shall be at the location of Party A, as specified after the main text of the contract.
2. The date of signature shall be the day on which both parties sign and affix their seals.
12. Right of Interpretation:
1. The right of interpretation of all terms of this contract shall be jointly owned by both parties, and in case of doubt or dispute, the result of friendly consultation and agreement between the parties shall prevail.
2. The Chinese version of the contract shall be the final version for interpretation, and the English version is for reference only.
13. Termination of the Contract:
1. After the termination of the contract, except as stipulated by law or agreed upon in writing by both parties, neither party may request the other party to bear any legal liability on the grounds of contract termination.
