五、其他事宜

2. 合同期满前如需变更或解除合同，需提前90天书面通知对方。
六、争议解决

Whereas, Party A is a professional supplier in the food industry and Party B is a food delivery platform, in order to promote cooperation between both parties, after friendly negotiation, the following agreements are reached：
I. Delivery Service Content
1. Party A provides high-quality, fresh food products, including but not limited to various food ingredients and ready-to-eat dishes.
2. Party B is responsible for delivering the food products provided by Party A to customers in a timely manner according to requirements, ensuring delivery time and quality.
II. Cooperation Mechanism
1. Both parties establish a long-term and stable cooperation relationship to jointly maintain the development of the food industry.
2. Party A is responsible for ensuring product quality and food safety, cooperating with Party B to complete delivery tasks.
3. Party B requires delivery personnel to have good service quality and food safety awareness, ensuring the safety of the food delivery process.
III. Fee Settlement
1. Party B settles the fees with Party A based on the actual quantity of products delivered and the delivery distance.
2. After reaching a consensus, a formal fee settlement agreement and invoice shall be signed.
IV. Confidentiality Clause
1. Both parties shall keep confidential the cooperation information and business secrets during the cooperation period, and shall not disclose it to a third party without authorization.
2. Illegal activities shall not be carried out through the cooperative relationship, and penalties shall be imposed on violators.
V. Other Matters
1. This contract shall take effect from the date of signing by both parties and is valid for one year. In case of any changes, advance written notice should be given to the other party.
2. If there is a need to change or terminate the contract before the expiration date, a written notice must be given to the other party 90 days in advance.
VI. Dispute Resolution
1. In case of a dispute, both parties shall resolve it through friendly negotiation; if negotiation fails, it shall be submitted to an arbitration institution with jurisdiction for resolution.
