1、朝鲜无烟煤进口合同 (第9-17条 中英文) Sale and Purchase Contract for Steam Coal (Signed By ETM)CLAUSE 9 OCEAN TRANSPORTATION OF COAL 煤炭的海上运输9.1 Seller shall immediately notify the buyer by fax or email of name、nationality and details of vessel after charter party confirmed by Seller.卖方在确认承租船后,须立即以传真或者电子邮件方式通知买方包括船
2、名、国籍及所任命船只的详细情况。9.2 The Seller shall undertake to load the contracted goods on board the vessel nominated by the Seller within the time of shipment as stipulated in this Contract. The actual LAYCAN is to be fixed based on the countdown 7, 5, 3, 2, 1 day.卖方应负责将所订货物按照本合同所规定的装船期内装上卖方所指定的船只。实际装船日必须在倒数7、
3、5、3、2、1 天前各一次传真通知。9.3 Discharging Terms 卸货条件9.3.1 Buyer guarantees to provide one safe berth at the Discharging Port upon vessel arrival to accommodate a vessel with Beam and LOA as per permissible limits for draft at least of each shipment quantity. 买方保证在卸货港提供一个安全的泊位使每次装载吨位之货船有足够的长度及水深可以安全靠泊。 9.3.2
4、 Discharging Rate is 10,000MT Per Weather Working Day 24 consecutive hours,Sunday & Holiday Including basis Vessel shall have minimum 4 Hatches / 4 Hold. 卸除率,每个工作日连续24小时,包括周日及节假日基础,船舶至少有4 个舱口和4 个船舱.9.3.3 At the Discharging port, Vessel shall be consigned to a Port Agent nominated by the Buyer / Sell
5、er and appointed by Owner, subject to Owners approval for port disbursement. 在卸货港,船舶应委托一个由买方或者卖方提名和船主任命的港口代理,船东支付港口费用。9.3.4 Seller will advise Buyer of the estimated time of arrival(ETA) of Vessel at the Discharging port at least 5 days prior arrival at discharging port.卖方应至少在船舶到达卸货港前五天通知买方船舶预计到达时间(
6、ETA)。9.3.5 Seller will arrange for Vessels Master to advise by agent to Buyer the estimated time of arrival(ETA) at the Discharging Port on departure from the loading port, 7 days, 5 days, 3 days, 2 days and 24 hours prior. 卖方应安排船东在船舶离开装货港后,通知买方的代理人船舶预计到达卸货港的时间(ETA),在预计时间前7天,5天,3天,2天,24小时各通知一次。9.3.6
7、 Written Notice of Readiness(NOR) to discharge will be presented by the vessel after arrival at the designated anchorage during normal office hours between 7:00AM and 4:00PM, seven days per week, provided that Vessel is in free practice and is in all respects ready to discharge. 假如货船全面准备好卸货,那么到达指定的停
8、泊港后的母船,必须在正常的办公时间(上午7点到下午4点之间)发出卸货准备的书面通知(NOR)。9.3.7 Vessel will be arriving within as the designated lay days and will be discharged in principal in accordance with the order of arrival at Discharging Port. 船只应该在指定的装卸时间到达,并根据卸货港的到达指令及规则卸货。9.3.8 Lay time for discharging will commence 12 hours after
9、written Notice of Readiness is tendered to Buyers office, whether the Vessel is actually berthed or not, or on commencement of discharging if sooner. If the twelve ( 12 ) hours turn time expires on a major Chinese Holiday, then Lay time for discharging is to commence from 7:00AM on next working day,
10、 unless discharging is sooner commenced. Waiting time for berth shall be included in the Lay time unless the waiting has resulted from any action or inaction by Buyer; it is agent, the owner or master of the Vessel, including the granting of practice. Shifting time from anchorage to berth shall not
11、count as Lay time. The time is required for the ballasting and for any delay caused by Vessels inability to discharge will not count as Lay time, even if on demurrage, delays due to the causes stipulated as Force Majeure in accordance with Article 11 shall not count as Lay time. Time is allowed for
12、discharging and to be calculated on the basis of the Bill of Lading quantity. Lay time will cease count on completion of discharging. 装卸时间应该于给买方办公室的书面通知的12小时后开始,无论船只有无实际停泊,或者在装卸货开始的不久,如果这12小时开始期满于一个主要的中国假日,装卸时间是从下一个工作日的上午7时开始。除非卸货是很快开始的。等待泊位时间应包括在装卸时间内,除非因为是等待买方的任何行动或是因为买方不行动而等待。他是代理人,船只的拥有者或者船长。包括核
13、准执行。即使在滞期内,从停泊处移动到泊位的移动时间不应该被算做装卸时间。任何因为船只压舱所需时间及船只不做为的时间均不能计算为卸货时间。因第11条不可抗力条款所述之原因所造成的延误,不应计为装卸时间。卸货时间是被以提单的数量为基础去计算的。装卸时间应该以卸货的完成时间为准到期。9.3.9 Any cost for over time of the officers and crew of the Vessel shall always be to the account of Vessel. 任何船上的官员及船员的超时费用应该总是计入船只的账上。9.3.10 The Vessel will f
14、urnish lighting necessary for night work on board the Vessel and its suitable safety gangway with net. Vessel is ought to provide working accommodation for foremen. Opening or closing the hatch covers shall be at Vessels cost.该船只应该在船上提供夜间工作的照明设备和安全的通道。船只应该为领班提供工作住宿。打开或关闭舱口盖应含在船舶的成本中。9.3.11 Buyer sha
15、ll bear all the Costs of discharging of Coal from the Vessel. 买方应承担船上煤炭卸货的全部费用。 Nomination: The Seller must provide the Buyer with the Vessels particulars in timely manner prior to loading to secure acceptance of the Vessel (s) from the Discharging Port Authorities. Such details are required for on
16、time storage at the Discharging Port (s) and include but are not limited to: Vessel Name, Flag, Year of Built, Number of Holds / Hatches, No. of Cranes & their Capacity, Assigned Number and Loaded arrival Draft at the Discharge Port and the Expected Date of Arrival at the Discharge Port ( ETA ).提示:
17、装货前,卖方必须实时提供买方船只的详细数据,以保证船只会被卸货港的管理当局接受,这些详细数据会储存在卸货港,数据需包含以下数据(但是不限于只有这些数据):船只名称,旗帜,建造年份,抓杆抓斗之数量,以及其能量,指定的编号,装货后到达卸货港之吃水深度,预计到达卸货港之时间。CLAUSE 10 TITLE AND RISK OF LOSS 所有权和损失风险:The title with respect to the shipment shall pass from the Seller to the Buyer when the Sellers bank receives reimbursement
18、 of the proceeds from the L/C issuing Bank through the L/C negotiating Bank against the respective documents as set forth in Clause 7 after completion of Loading at the Loading port with effect retrospective to the time of delivery of the coal.当卖方在有效期内完成了装运港的装运,开证行通过确认议付行提交的条款7中所述的单证并付款给卖方的时候,货物的所有权
