上海市房屋租赁合同 TENANCY AGREEMENT 本合同双方当事人: 出租方(甲方)Landlord (Party A):庞国伟/受托人:邓磊 承租方(乙方)Tenant (Party B):欧陆分析技术(服务)苏州有限公司 根据《中华人民共和国合同法》、《上海市房屋租赁条例》(以下简称:《条例》)的规定,甲、乙双方在平等自愿公平和诚实信用的基础上,经协商一致,就乙方承租甲方可依法 出租的 商品房 事宜,订立本合同。 Whereas Party A Shall lease to Party B and Party B shall rent from Party A, the relevant Premises legally owned by Party A and Party B agrees to sign this lease Agreement (this “Agreement”) after friendly consulation and negotiation on the basis of equality and mutual benefits in accordance with the relevant national and municipal laws and regulations. 一、出租屋情况 Article1 Location, Area and Renovation 1—1 甲方将其所有的位于上海市徐汇区建国西路581弄4号233室该房屋实测建筑面积为 119.77 平方米,土地用途为 住宅,房屋类型为商品房、结构为钢混. 。(The “Premises”) The livable area of the Premises square meters. When Party A delivers the property to Party B, Party B will pay month(s) rental as deposit before 13thinvoice to Party B。 On the expiry of the contract, Party A will give back the deposit to Party B except it Party B has not paid expenses it has to pay according to this contract。 六、甲方该房屋内的家俱和家用电器应列明清单(见附件),于2月13日移交乙方确认使用。 Part A shall make a furniture list of the house and turn over to Part B on13th February。 (The furniture list see the attachment) 七、房屋使用要求和维修责任 Article 7 The responsibility of repairing the Premises 7-1 租赁期间,乙方发现该房屋及其附属设施有损坏或故障时,应及时通知甲方修复;甲方应在接到乙方通知后的 三 日内进行维修.逾期不维修的,乙方可代为维修,费用由甲方承担. During the lease period, Party B shall inform Party A when Party B finds that something is wrong with the Property of attached facilities; when party A receives the information from Party If Party A delays in performing the repair, Party B can instead of Party A repair it by itself and Party A shall reimburse Party B for the expenses。 7-2 租赁期间,乙方应合理使用并爱护该房屋及其附属设施。因乙方使用不当或不合理使用,使该房屋及其附属设施损坏或发生故障的,乙方应负责维修。乙方拒不维修,甲方可代为维修,费用由乙方承担。 During the lease period, Party B shall take care of and use the Premises and the attached facilities properly。 In the event that the Premises and facilities are damaged by Party B due to its improper use, Party B shall immediately repair and pay for the costs of such repairs。 In the event that Party B fails to repair items damaged due to improper use by Party B, Party A shall have the right to repair and the costs of such repairs is to be reimbursed to Party A by Party B. 7—3 租赁期间,甲方保证该房屋及其附属设施处于正常的可使用和安全的状态。甲方对该房屋进行检查、养护,应提前 三 日通知乙方.检查养护时,乙方应予以配合。甲方应减少对乙方使用该房屋的影响。 During the lease period, Party A shall ensure the Premises are in the good and safe condition。 Party A shall give a written notice to Party days prior to inspection and maintain the Premises and the attached facilities。 Party B shall assist in and cooperate with Party A willingly。 Party A shall reduce and inconvenience caused to Party B。 八、房屋返还时的状态 Article 8 Premises returning situation 8—1 除甲方同意乙方续租外,乙方应在本合同的租期届满后的 当 日内应返还该房屋,未经甲方同意逾期返还房屋的,每逾期一日,乙方应按 日房租的双倍价格 向甲方支付该房屋占用使用费。 Except if Party A agrees to extend the lease of the Premises, Party B shall return the Premises on the expiration day of the lease period。 If Party B delays in returning the Premises to Party A, Party B shall pay default penalty equivalent to double of the daily rental. 8-2 乙方返还该房屋应当符合正常使用后的状态。返还时应经甲方验收认可,并相互结清各自应当承担的费用。(除自然磨损或损耗外)任何由人为因素使用不当所造成的损坏由乙方负责维修或更换。 When Party b returns the Premises to Party A, the Premises and attached facilities should be in a usable condition。 Party A should check and after acceptance settle all charges。 (except the normal tear and wear) Any damage that is man—made and caused by improper use, the Party B shall be responsible to repair or replace. 九、转租、转让和交换 Article 9 Sub—lease, assign and exchange 在租赁期内,乙方不得分租或隔间群租或转租该房屋、转让该房屋承租权或与他人交换各自承租的房屋. During the lease period, Party B is not allowed to sublet Premises without Party A’s written consent。 十、解除本合同的条件 Article 10 The condition of dissolution 10—1 甲乙双方同意在租赁期内,有下列情况之一的,本合同终止,双方互不承担责任: (一)该房屋占用范围内的土地使用权依法提前收回的; (二)该房屋因社会公共利益被依法征用的; (三)该房屋毁损、灭或者被鉴定为危险房屋的; During the lease period, this Agreement shall be terminated when one of the following events occurs。 (1) The land use right of the area where the Premises is located shall be taken back ahead of the schedule according to the law; (2) The Premises shall be confiscated for the benefit of public interest; (3) The Premises is damage, or be appraised as dangerous Premises. 10-2 甲乙双方同意,有下列情形之一的,一方可书面通知另一方解除本合同.违反合同的一方,应向另一方按月租金的 双 倍支付违约金;给对方造成损失的,支付的违约 金不足抵付一方损失的,还应赔偿造成的损失与违约金的差额部分; (一)甲方未按时交付该房屋,经乙方催告后 十 日内仍未交付的; (二)甲方交付的该房屋不符合本合同的约定,致使不能实现租赁目的的;或甲方交付的房屋危及乙方安全的。 (三)乙方未征得甲方书面同意改变房屋用途,致使房屋损坏的; (四)因乙方原因造成房屋主体结构损失的; (五)乙方擅自分租或隔间群租或转租该房屋、转让该房屋承租权或与他人交换各自承租的房屋的; (六)乙方逾期不支付租金累计超过 半个 月的; (七)乙方逾期不支付房屋租赁保证金的。 Both of Party A and Party B agree that one party can notify the other Party to terminate the contract under the following circumstances。 If either Party breaks the terms of this Agreement it shall pay double monthly rental as the default penalty to the other Party; if the other Party’s losses exceeds the default penalty, the Party breaking the terms of this Agreement shall pay the default penalty as mentioned above and be responsible to compensated the other Party’s losses. (1) In the event that Party A fails to deliver the Premises to Party B in accordance with days but stills have not delivered; (2) (3) (4) (5) (6) (7) 十一、违约责任 Article 10 responsibilities for Breach Party A delivers the Premises not accordance with the Agreement, rendering it not rentable; or Party A delivers the defective Premises to Party B, making it unsafe; Without Party A’s written consent, Party B changes the use of the Premises as stipulated in this Agreement thereby damaging the Premises; Due to any other reasons of Party B, making the Premise’s main structure defective; Party B without Party A’s written consent sub—lease, assign or sublet the Premises to others of exchange the Premises with others; Party B delay in payment for the rental for more than days。 Party B delay in payment for the deposit. 11-1 租赁期间,甲方不及时履行本合同约定的维修、养护责任,致使房屋损坏,造成乙方财产损失或人身伤害的,甲方应承担赔偿责任。 During the lease period, due to the delay in performing repair and maintenance as agreed by Party A, Party A shall be responsible to compensate for the damages of the Premises and / or the property damages and/or the personal injuries of Party B。 11—2 租赁期间,非本合同规定的情况甲方擅自解除本合同,提前收回该房屋的,甲方应向乙方支付违约金。若支付的违约金不足抵付乙方损失的,甲方还应负责赔偿。 During the lease period, Party A shall pay penalty to Party B in the event that Party A terminates this Agreement and takes back the Premises before the expiration date for reasons other than that as provided in the Agreements. Party A shall be responsible to compensate。 For Party B's losses in the event that default penalty is insufficient to cover Party B’s losses 11—3 乙方未征得甲方书面同意或者超出甲方书面同意的范围和要求装修房屋或者超出甲方书面同意的范围和要求装修房屋或者增设附属设施的,甲方可以要求乙方 赔偿损失. If Party B has not obtained Party A's prior written consent or exceeds the scope of Party A’s prior written consent to renovate the Premises and install attached appliances, Part A have right to ask Party B cover its loss cover its losses. 11-4 租赁期间,非本合同规定的情况,乙方中途擅自退租的,甲方可没收乙方的保证金,保证金不足抵付甲方损失的,乙方应负责赔偿。 During the lease period, Party B terminates the contract; Party A has right to confiscate the deposit. However, the terms of supplementary agreement and the schedule shall be the integral part of this Agreement。 The handwritten characters will have the same effect as the printed characters. 12—3 甲、乙双方在签署本合同时,对各自的权利、义务、责任清楚明白,并愿按合同规定严格执行.如一方违反本合同,另一方有权按本合同规定索赔。 At the time of signing this Agreement, Both Party a and Party B are clear about their rights, obligations and responsibilities and are willing to strictly observe this Agreement. In the event that one Party breaches this Agreement, the other Party has the right to claim for compensation in accordance with is Agreement. 12—4 甲、乙双方就履行本合同发生纠纷,应通过协商解决:协商解决不成的可选择下列一种方式解决(下列两种方式由甲、乙双方共同任选一种): (二)依法向人民法院起诉 Any disputes between the Parties hereto within arise out of the performance of this Agreement shall be settled through consultation.
