一． 合同当事人的名称或姓名、国籍、主要营业地点或住所
The corporate or personal names of the contracting parties and their nationalities and principal places of business or domicile

例1：
This know-how contract is signed in Beijing on October 27, 1997 by and between ABC Company, Beijing, China(hereinafter referred to as the "Licensee", or Party A) on the one hand and XYZ Company, New York, USA((hereinafter referred to as the "Licensor", or Party B) on the other hand.
Whereas Party B possesses Know-how for the designing, manufacturing, installing and marketing of (the product's name).
Whereas Party B has the right and desires to transfer the above-said Know-how to Party A.
Whereas Party A desires to design, manufacture, sell and export(the product's name)using Party B's Know-how.
The Parties hereto hereby made and entered into this contract through friendly consultation under the following terms, conditions and provisions hereof.

本专有技术转让（某产品）合同，由中国北京ABC公司（以下简称接受方，或甲方）为一方，和美国纽约XYZ公司（以下简称许可方，或乙方）为另一方，于1997年10月27日在北京签订。
鉴于乙方拥有设计、制造、安装、销售（某）产品的专有技术；
鉴于乙方有权及同意向甲方转让上述专有技术；
鉴于甲方希望利用乙方的专有技术，以便设计、制造、销售和出口（某）产品；
本合同双方通过友好协商，根据以下的合同条款特签订本合同。

例2：
This Agreement is made and entered into in Beijing, China by and between China ABC Corporation, a state enterprise duly organized and existing under the Laws of the People's Republic of China with its principal place of business at Jian Guomen, Beijing, the People's Republic of China(hereinafter referred to as ABC) and General Trading and Chemical Co., a state-owned company duly organized and existing under the laws of the Arab Republic of Egypt with its principal place of business in Cairo, Arab Republic of Egypt(hereinafter referred to as GENCO).
Whereas ABC is the exporter of commodities provided herein and is desirous of the sales in the Arab Republic of Egypt;
Whereas GENCO is desirous of acting as ABC's sole agent for sales in Egypt to government organizations, public sector and private sector.
Now it is hereby agreed under the terms and conditions as follows:

本协议，由中国ABC公司，一家依据中华人民共和国法律建立和组织的国营公司并在北京建国门设有营业地（以下称ABC），与General Trading and Chemical Co., 一家依据埃及阿拉伯共和国法律建立和组织的国营公司并在开罗设有营业地（以下称GENCO）,在中国北京签订。
鉴于ABC为所供商品的出口方，并且愿意在埃及销售，而GENCO愿意作ABC在埃及的独家代理向埃及的政府组织、公共及私营部门销售ABC的产品；
兹同意下列条款：

例3：
This Agreement is made and concluded in duplicate in Beijing, China by and between XYZ Company, a company incorporated under the Law of USA having its head office and a place of business in the City of New York, USA, (hereinafter called XYZ) as the first Party and China Jing Du Corporation(hereinafter called the Purchaser) as the Second Party.
In consideration of the mutual conventions and agreements herein contained, the XYZ and the Purchaser agree on the following terms, conditions and provisions hereof:

本协议书，由按美国法律成立的，并在美国纽约设有总部和营业地的XYZ有限公司（以下称XYZ）为甲方和中国京都公司（以下称买方）为乙方在北京签订，一式两份。
考虑到相互契约及约定，XYZ与买方同意以下条款：

二． 合同的种类与合同的范围
Type of contract and kind and scope of the object of contract

The organization form of the Joint Venture Company shall be a limited liability company. The profits, risks and losses of the Joint Venture Company shall be shared by the Parties to this Contract in proportion to their contributions of the registered capital.

合资公司的形式应为有限责任公司。本合同双方应按注册资本的认缴比例分享合资公司的利润，并应分担合资公司的风险及损失。

The business purpose of the Joint Venture Company shall be in conformity with the wish to enhance the economic cooperation and technical exchange, to develop business opportunities and take advantage of the Parties to this Contract to raise economic results and ensure satisfactory economic benefits for parties hereto. Activities shall be as follows but not limited to:
(1) trade inter-mediation;
(2) Technology development and transfer;
(3) Arrangement of strategic alliance and joint ventures;
(4) Market research
(5) Management consultation and human resources development;
(6) Any and all business activities incidental to the foregoing objectives.
合资公司的目的是为了促进经济合作和技术交流，开拓业务渠道，充分发挥本合同双方的各自优势提高经济效益，保证双方获得较好的经济效益。业务范围应包括，但不只限于以下各条：
（1） 贸易中介
（2） 技术开发、技术转让
（3） 为贸易伙伴和合资经营牵线搭桥
（4） 市场调查
（5） 提供管理咨询和人才资源的开发
（6） 涉及上述目的的所有及任何其它业务活动

Party A agrees to acquire from Party B the know-how for design and manufacture of the contract products with the types, specifications and parameters specified in Appendix No. 1 to the contract, and Party B agrees to supply the above-mentioned know-how to Party A. The surrender of the know-how shall be made not only in the scope of new production of the contract products under appendix No.1, but also by such components as are already being manufactured by party A, as far as the type of products belongs to the contract products. Party B shall, in accordance with the provisions in Sub-clause 1.6, have obligations to supply a maximum of 8 sets of the contract products(3 sets of new designs and 5 sets of revisions of components already being manufactured by party A, as far as they belong to the category of the contract products.)
甲方同意按合同中附件1规定的型号、规格和参数向乙方购买有关合同产品设计和制造方面的专有技术；
乙方同意向甲方提供上述专有技术。转让的专有技术，不仅涉及附件1中规定的新生产的合同产品，也包括改进甲方已经生产的属于合同产品类型的部件的专有技术。根据第1.6款的规定，乙方有权提供最多8套合同产品的专有技术（3套新设计的合同产品，5套已由甲方生产的属于合同产品范畴内的部件，该部件由乙方作技术改进。）、

三． 合同价格、支付金额、支付方式和各种附带的费用
(The contract price and rate, amount and method of payment, and other various incidental charges)
例1：
The registered capital of the Joint Venture Company shall be the same as the total amount of the investment, i.e. 4.5 million U.S. dollars

合资公司的注册资本和投资总额相同，即为450万美元。

例2：
Party A shall, in accordance with the provisions of this contract, pay to Party B the Technical Documentation Fee of USD2,400,00. The above price shall be a firm price including all expenses for sending the Technical Documentation CIF Beijing Airport, Party B's technical personnel and training of Party A's personnel(excluding Sub-clause 4.8 of Annex 3 and Sub-clause 5.3 of Annex 4).

根据本合同的规定，甲方应付给乙方技术资料费240万美元整。上述报价为实盘，包括托运技术资料的北京机场交货价（CIF北京机场），乙方技术人员服务费和甲方人员的培训费（不包括附件3的第4.8款和附件4第5.3款）。

例3：
The total contract price for the works is U.S.D1,260,000. The payments of the total price shall, under the contract, be made in six installments as follows:
First installment: Part A shall pay to Party B five percent of the total price for works, i.e., $63,000 at the time when this contract is duly executed.
Second installment: Party A shall pay to Party B fifteen of the total price for works, i.e., $189,000 at the commencement of construction works of Party A's plant.
Third installment: Party A shall pay to Party B twenty percent of the total price for works, i.e., $252,000 upon the commencement of air pipe works.
Four installment: Party A shall pay to Party B forty percent of the total price for works, i.e., $504,000 at the time when the main machinery of the air conditioning equipment, each set of ASO-1 and ASY-2, arrives at the site.
Fifth Installment: party A shall pay to Party B ten percent of the total price for works, i.e., $126,000 upon the completion of the works hereof.
Six installment: Party A shall pay to Party B the balance of the unpaid ten percent of the total price for works, i.e., $126,000 when the completed works is deemed of quality and received by the Party A.

工程合同总价为126万美元整。根据合同规定，工程款应按以下6次分期支付：
第一期：甲方在本合同开始实施时，向乙方支付工程总价的5%，即6，3000美元整。

四．合同转让的条件和违反合同的赔偿及责任
(The conditions for the assignment of contract and liability to pay compensation and other liabilities for breach of contract)

例1：
Liabilities for breach of contract:
Should either Party A or Party B fails to pay on schedule the contribution in accordance with clause 5 of this contract, the breaching party shall pay the other party 10% of interest of the contribution from the month after exceeding the time limit. Should the breaching party fails to pay the contributions after 3 months exceeding the time limit, the other party shall, in accordance with clause 53 hereof, have the right to terminate the contract and to claim damages to the breaching party.
违约责任：
如果合资一方未能按照合同第5条规定按期入资，违约方应在逾期后一个月付给合同另一方10%利息。 如果违约方逾期后三个月仍未入资，合同另一方应根据本合同第53条款的规定有权终止合同，并向违约方索赔损失。

例2：
Party B shall, in accordance with the provisions of the contract, guarantee that he is the legitimate owner of such know-how and such technical documentation as are supplied to party A and that he is lawfully in a position to transfer the know-how to party A.

乙方保证他是向甲方提供的专有技术和技术资料的合法所有者；符合合同条款，依法能够向甲方转让专有技术。

例3：
After the expiration or termination of the contract, party A shall still have the right to use the know-how supplied by party B, i.e. Party A shall still have the right to design, manufacture, use and sell the contract products in the People's Republic of China only. Party A shall not, without the prior written consent and approval of Party B, have the right export the contract products to any third countries.

合同期满后，甲方应仍有权使用乙方提供的专有技术，即甲方仍有权在中国范围内设计、制造、使用和销售合同产品。没有乙方的事先同意，甲方不准向第三国出口合同产品。

例4：
In the event that Party B fails to complete the works on time owing to such reasons as party B shall be liable for, party B shall pay a penalty for the default based on 0.1% of the total price for the works per day, i.e., party B shall pay one thousand two hundred and sixty only U.S. Dollars for each day of such default.

如果乙方因自身的原因而 未准时完工，乙方应付违约罚款，每天按总价的千分之一计算，即一千二百六十美元整。

例5：
If, under the contract, the purchaser requests to cancel the contract, ABC Company shall, upon written request by the purchaser, advise purchaser of the estimated cancellation costs for which purchaser would be liable.
如果买方根据合同要求撤销合同时，ABC公司应根据买方书面要求，通知买方应承担的撤销费用。

五．合同发生争议时的解决办法

　　解决争议的办法：协商（consultation、调解mediation、仲裁arbitration、向法院起诉。在国际上，仲裁和向法院起诉这两种方式是相互排斥的。一般有仲裁的协议，法院不予受理。

例1：
Any disputes arising from the execution of, or in connection with this contract shall be settled through friendly consultations between the parties hereto. In case no settlement can be achieved through consultations, the disputes in question shall be submitted to International Chamber of Commerce(ICC) in Geneva, Switzerland, unless mutually agreed otherwise, for arbitration in accordance with ICC rules, The arbitration award shall be final and binding upon the parties hereto.

因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好协商解决。除非双方另有协议，如果协商不能解决，应提交设在瑞士日内瓦的国际商会，根据国际商会的规则进行仲裁。仲裁裁决是终局性的，对双方都有约束力。

例2：
When any dispute occurs and when such dispute is under arbitration, except for the part under dispute that is subject to the arbitration, the parties to this contract shall, in accordance with the provisions hereof, continue to exercise their respective rights and perform their respective obligations.

在发生争执、并将争执提交仲裁的过程中，除所提交的争执部分外，双方都应按本合同的规定，继续执行各自的权利和履行各自的义务。

例3：
The arbitration award shall be final and binding on the parties to the contract. The cost of arbitration shall, in accordance with the rules of the arbitration, be borne by the losing party.

仲裁裁决是终局性的，对合同双方都有约束力。仲裁费根据仲裁规则应由败诉方承担。

例4：
The arbitration shall take place in Stockholm, Sweden, and shall be conducted by the Arbitration Institute of Stockholm Chamber of Commerce in accordance with the statutes of the Institute in question.

仲裁在瑞典斯德哥尔摩进行，由斯德哥尔摩商会仲裁院依据该院的仲裁规则实施。
