NON-DISCLOSURE AGREEMENT保密协议This Agreement, made as of the _ of _, 201_ (the “Effective Date”), by and between X Holdings, Inc. and each of its subsidiaries (“X”), x7 and _ (the other party set forth on the signature page hereto “Recipient”), sets forth the terms and conditions of the confidential disclosure of certain information by X to Recipient.本协议，定于_的_，201_（“生效日期”），由X控股，地址为x，08807及_（另一方在签名页表述为“接受方”），提出的披露某些信息的条款和条件由X给接受方。In consideration of the mutual promises and covenants contained in this Agreement, X and Recipient agree as follows:考虑到本协议中包含的相互承诺和约定，X和接受方同意遵守如下事项：1. “X Confidential Information” shall mean all information disclosed and/or provided to Recipient by X or its agents, employees or other representatives (collectively, “Representatives”) in any manner or medium, whether in draft or final form, whether orally, visually, or in tangible form (including, without limitation, documents, devices, and computer readable media), and all copies thereof, whether created by X or Recipient and whether disclosed or provided before or after the Effective Date, including, without limitation, (a) technological information in the form of data, drawings, designs, concepts, specifications, software, algorithms, prototypes, processes, procedures, trade secrets, know-how, formulas, ideas, and inventions (whether or not patentable) and (b) other information relating to X business and business partners, including, but not limited to, customer, vendor and consumer information, financial projections and data, budgets, business plans, pricing, policies, new products, business strategies, notes, analyses, compilations, studies and interpretations of other documents and (c) other materials prepared by Recipient containing or based in whole or in part upon such information furnished to Recipient by X or its Representatives and all said materials developed by Recipient for X during the term of this Agreement. “X机密信息”是指披露和或提供给接受方的所有信息，由X或其代理人、雇员或其他代表（以下统称为“代表”）以任何方式或媒介，无论是草案或最终形式，无论是口头、视觉还是以有形形式（包含但不限于文件、设备和计算机可读介质），以及所有副本，无论是由X或接受方创建以及无论是否在生效日期之前或之后披露或提供的，包含但不限于（一）技术信息以数据、图纸、设计、概念、规格、软件、算法、原型、流程、程序、商业秘密、技术诀窍、公式、想法和发明（无论是否申请专利）形式以及（二）其他信息与X的业务和商业合作伙伴有关，包括但不限于客户、供应商和消费者信息、财务数据和预测、预算、经营计划、定价、政策、新产品、经营策略、笔记、分析、汇编、研究报告和其他文件的解释以及（三）在本协议条款内含有接受方准备的或者基于全部或经X或其代表提供给接受方等信息的一部分，并表示由接受方为X开发的所有材料。2. Recipient shall hold the X Confidential Information in strictest confidence and may not use or disclose X Confidential Information, except as expressly permitted herein, without the prior written consent of X, which consent may be granted or refused in X sole discretion. Recipient shall take all reasonable measures to protect the X Confidential Information from becoming known to the public or falling into the possession of persons other than those persons authorized to have access to such X Confidential Information, which measures shall include the highest degree of care that Recipient uses to protect its own information of a similar nature, but in no event less than a reasonable degree of care. Recipient will notify X in writing immediately upon the occurrence of any unauthorized release or other breach of which it is aware.接受方应严格保密X机密信息，没有事先通过书面同意授予或拒绝的X唯一自由裁量权，不得使用或披露X机密信息，除非本协议明确允许。接受方应采取一切合理措施保护X机密信息不被公众知悉或被未经授权获得X机密信息的人员获得，其措施应包含接受方用来保护自身类似性质信息时的高度谨慎态度，在任何场合都应有合理的保护。接受方应对觉察到的任何擅自发布或其他违反行为立即书面通知X。3. Recipient shall use X Confidential Information solely for the purpose specified at the end of this Agreement (the “Permitted Purpose”).接受方使用X保密资料指定目的仅在本协议末尾标出（以下简称“许可用途”）。4. Recipient shall disclose X Confidential Information only to those of its Representatives who have a need to know such information for the Permitted Purpose and have been advised of the obligations of confidentiality under this Agreement and are bound by obligations of confidentiality at least as restrictive as those contained herein. Recipient agrees not to reproduce, copy, alter, modify, reverse engineer, or attempt to derive the composition or underlying information, structure or ideas of any X Confidential Information, by any means, without X prior written permission. Within ten (10) days of X request at any time, Recipient shall return to X or destroy, at X sole discretion all tangible materials that disclose or embody X Confidential Information. 接受方同意未经X事先书面许可的情况下不得以任何形式进行复制、复印、更改、修改、反向工程、试图获得任何X机密信息的组成或推导出潜在信息。在X发出要求后的10天内，接受方应还回或销毁，由X全权处理所有有形形式的披露材料或体现X机密信息的材料。7. Recipient shall not remove any proprietary rights legend from, and shall, upon X reasonable request, add any proprietary legend to, materials disclosing or embodying X Confidential Information.对于含披露X的资料或体现X机密信息的材料，除X合理要求，接受方不得删除或添加任何专有权利的说明 。8. In the event that Recipient is ordered to disclose X Confidential Information pursuant to a judicial or governmental request or order or in a judicial or governmental proceeding (“Required Disclosure”), Recipient shall (i) immediately, and in any event prior to complying therewith, notify X, (ii) take reasonable steps to assist X in contesting such Required Disclosure or otherwise protecting X rights and (iii) only disclose the exact X Confidential Information, or portion thereof, specifically requested by the Required Disclosure.接受方根据司法或政府要求或命令或在司法或行政程序（“必须公开”）被要求公开X机密信息的情况，接受方应1）立即，并且在服从任何情况下之前通知X，2）采取合理措施协助X夺回被披露要求或保护X的权利，3）只透露确切的X机密信息，或其中的一部分，具体根据披露要求所需提供。9. Recipient acknowledges that it may from time to time be in possession of material non-public information of X and agrees that it will comply with the restrictions imposed by United States and any other applicable laws regarding the purchase or sale of securities by any person who has received material, non-public information, directly or indirectly, from the issuer of such securities, and on the communication of such information to any other person when it is reasonably foreseeable that such other person is likely to purchase or sell such securities in reliance upon such information.接受方承认其可能会不时从X接收重大非公开信息，并同意将遵从美国和其他适用法律规定的限制，因直接或间接从证券发行方获得非公开信息的个人购买或出售证券，以及在合理可预见的情况下依赖此类信息的个人很可能会出售或购买此类证券的通信。 10. Recipient acknowledges that X Confidential Information may still be under development, or may be incomplete, and that such information may relate to products that are under development or are planned for development. X MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, PERFORMANCE, MERCHANTABILITY, FITNESS FOR USE, OR NONINFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS, OR ANY RIGHT OF PRIVACY, ANY RIGHTS OF THIRD PERSONS OR OTHER ATTRIBUTES OF THE X CONFIDENTIAL INFORMATION FURNISHED UNDER THIS AGREEMENT AND ALL SUCH X CONFIDENTIAL INFORMATION IS PROVIDED BY X “AS IS” AND, “WITH ALL FAULTS”. X accepts no responsibility for any expenses, losses or action incurred or undertaken by Recipient as a result of Recipients evaluation, receipt or use of the X Confidential Information.接受方承认，X机密信息可能仍处于开发阶段，也可能是不完整的，并且此类信息可能涉及到正在开发或计划开发的产品。X对本协议项下机密信息的准确性、完整性、性能、适销性、适用性、或任何知识产权的无侵权性、或任何隐私的权利不做任何明示或暗示的保证，且X机密信息应被视为是“依原样提供的”和“含所有瑕疵的，如本身具有的话”。对因接受方根据其评估、接收或使用X机密信息发生或采取的行为而产生的费用或损失X不承担任何责任。11. Neither party has any obligation under or by virtue of this Agreement to purchase from or furnish to the other party any products or services, or to enter into any other agreements, including but not limited to, a development, purchasing or technology licensing agreement.本协议下双方都没有购买或提供给对方任何产品或服务、或订立任何其他协议，包括但不限于开发、采购或技术许可协议，的任何义务。12. If the parties enter into a written contract concerning a business relationship of the type contemplated by this Agreement, the provisions of such contract concerning confidentiality of information will supersede and prevail over any conflicting provisions of this Agreement. In the absence of a written contract or any such provision in a written contract intended to supersede the terms of this Agreement, the terms of this Agreement will continue in force.如果当事人就本协议预期类型的业务关系订立书面合同 ，此类合同的条款中有关机密信息的冲突部分将取代此协议条款内容。在没有打算取代本协议条款的书面合同的任何条款，本协议中的条款将继续有效。13. Disclosure of any of the X Confidential Information shall not confer any right or license, either express, implied or by estoppel, nor any rights to patents or patent applications, presently held or subsequently obtained, by X in respect of inventions or technology relating to the X Confidential Information. All X Confidential Information, presently held or subsequently obtained by X, is and will remain the property of X. 披露X的机密信息不得授予任何权利或许可，无论是明示、暗示或者不可否认的，也没有任何专利或申请专利的权利，有关X机密信息的目前持有或随后就X发明或技术涉及到的获得。所有X机密信息，由X目前持有或随后获得的，现在是，并且将来仍然是X的财产。14. Notwithstanding any other provisions of this Agreement, Recipient agrees to comply with the U.S. Foreign Corrupt Practices Act (regarding among other things, payments to government officials) and all export laws, restrictions, national security controls and regulations of the United States or other applicable foreign agency or authority. 除其他在此协议中的条款，接受方同意遵守美国反海外腐败法（除其他内容，支付给政府官员） 美国及国外执法机构或权威的所有出口法律、限制、国家安全控制和法规。15. This Agreement and all actions related hereto shall be governed and interpreted by the laws of the State of New Jersey, United States of America, excluding its choice of law principles. The rights and obligations herein shall bind the parties, their legal representatives, successors, heirs and assigns. Neither party may assign, in whole or part, any of its rights under this Agreement without the prior written consent of the other. Any attempted assignment shall be void and of no effect, if not in accordance with this provision. Notwithstanding the foregoing, X may assign this Agreement to an affiliate company or to a purchaser of all or substantially all of X assets or stock, whether by merger, acquisition or otherwise, without prior consent of Recipient.本文中的权利和义务针对当事人及其法定代理人、继任者、继承人和受让人具约束力。任何一方不得转让全部或部分本协议下未经另一方事先书面同意的任何权利。如非遵循此规定，任何企图转让的行为都是无效的。尽管有上述规定，X可将本协议分配给一个附属公司或买房的全部或实质上全部X的资产和股票，无论是通过合并、收购或其他方式，而不必经接收方同意。17. The terms of this Agreement shall terminate twenty-four (24) months from the Effective Date. The confidentiality obligations imposed by this Agreement shall continue with respect to X Confidential Information received during the term shall survive and continue beyond the expiration of this agreement until such item of X Confidential Information becomes subject to one of the exceptions in Section 5.本协议条款自生效之日起二十四（24）个月终止。本协议的保密义务条款需遵从X机密信息的连续性，在X公司存在期内即便是超出了本协议的有效期仍具有保密义务，直到X机密信息成为条款5中的其中一个例外。18. This Agreement expresses the entire agreement and understanding of the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, commitments and understandings pertaining to the subject matter hereof.
