协议书
AGREEMENT
协议书于 　* 年　６ 月 2 日由 TESCO 地产 (以下简称“业主”)为一方与 ***房地产咨询顾问有限公司 （以下简称“咨询工程师”)为另一方签订。
鉴于业主欲请咨询工程师履行某些服务,即 编制*省抚顺市*****工程总承包工程含清单的标底资料文件，并与本项目之总承包商就清单进行核对,商讨总承包工程协议预算价　 ,并已接受咨询工程师为履行该类服务所提出的建议书。

WHEＲＥAS the　Cｌｉent ｄesirｅs tｈat　ceｒtain Ｓerviceｓ ｓhoｕld be peｒfｏｒmed by the Consultant, nａmely edｉt Main Tenｄeｒing　ｂｏtｔom-ｌinｅ wｉtｈ biｌl　of ｑuａntity oｆ tｈｅ Finance Ｓtreeｔ No．１ Ｐrｏject ｉn ｔhe city of　Fushuｎ,Liａoｎing pｒoｖｉncｅ ，and　reconｃｉlinｇ　and vｅｒifying　the ｂudge prｉｃｅ ｗiｔh ｔhe　maｉｎ　Coｎｔｒactor, ａｎd ｈas　accｅpted a　pｒoposal by　ｔhe Coｎsultａnt fｏr ｔhｅ perfｏrmancｅ ｏf sｕcｈ　Serｖices.
ﻫ    兹就以下事项达成本协议：
NOＷ THＩS　AGREEMENＴ ＷITＮEＳSEＴH　AS FOLＬOWＳﻫ1．本协议书中的措词和用语应与下文提及的“业主/咨询工程师标准服务协议书条件”中分别赋予它们的含义相同。

2.下列资料文件应被认为是组建本协议书的一部分，并应被作为其一部分进行阅读和理解，即:

3.考虑到下文提及的业主对咨询工程师的支付，咨询工程师在此答应业主遵守本协议书的规定履行服务。
３.　In　consiｄeratｉoｎ　oｆ ｔhe　payments　to be made　by thｅ Clｉeｎt to　the　Coｎｓuｌtant ａｓ herｅinａｆteｒ ｍeｎtiｏned the Ｃoｎsultaｎｔ ｈｅreby agrｅes witｈ the Clｉent　ｔｏ　pｅｒfｏrm tｈe　Ｓerｖiｃeｓ　iｎ　ｃonｆormity wiｔh　tｈｅ proｖisions　of tｈｅ Ａｇreement.
４．业主在此同意按本协议书注明的期限和方式,向咨询工程师支付根据协议书规定应付的款项似此作为履行服务的报酬。

本协议书谨于前文所载明之年月日,由立约各方根据其关于的法律签署并开始执行。

第一部分 标准条件
GＥNERAＬ ＣONDIＴIONS
定义及解释
DEFINIＴIＯNS　ANＤ INTＥRPＲETATIONﻫ1.定义
DEFINＩTIONS
    下列名词和用语，除上下文另有要求者外,应具有所赋予它们的涵义：
Thｅ fｏlｌowiｎg words　and ｅxｐrｅｓsｉｏnｓ shall have ｔhe meaｎings　assigｎeｄ ｔo tｈem ｅｘcept　wherｅ tｈe contｅxt otherｗise　reｑuｉrｅｓ:ﻫ(1）“项目”是指第二部分中指派的并为之建造工程的项目。
(ｉ) “Proｊect”　ｍｅaｎｓ ｔhe　pｒｏjecｔ　naｍed　in the Paｒｔicｕlａｒ Conditioｎs　foｒ wｈich ｔhe Worｋｓ　ａre to be pｒｏvidｅd.
（2)“服务”是指咨询工程师根据协议书所履行的服务,含正常的服务、附加的服务和额外的服务。
（ii）　“Sｅrvｉcｅｓ” means　ｔhe ｓervｉceｓ ｔo　be peｒfｏｒmeｄ　by the Consultａnｔ ｉｎ ａcｃｏrdａnce ｗith　the　Agｒeemｅnt　ａｎd compriｓｅ Normal Services， Adｄitional　Ｓｅｒviｃeｓ　and Eｘceptioｎal Ｓervｉces.
(3）“工程”是指为履行项目所实施的永久工程(包括提供给业主的物品和设备）。
（iｉi)“Woｒkｓ” meａnｓ tｈe　permaneｎt　woｒks ｔo be executｅd (inclｕdiｎｇ　tｈe　gooｄｓ　ａnd equｉpｍｅnｔ　tｏ be supplied ｔo the Ｃlｉent) ｆor the achieｖemｅnt of tｈe Project.
(4)“业主”是指本协议书所指的雇用咨询工程师的一方以及业主的合法继承人和允许的受让人。
（iv）“Clieｎｔ” mｅａns tｈｅ paｒty ｎamed iｎ tｈｅ Agrｅement,　wｈo employs　tｈe　Ｃonsulｔant,　aｎd lｅgal successors　to　the Cｌｉent ａnd　ｐermittｅd ａｓsiｇnｅeｓ.
（５)“咨询工程师”是指本协议书中所指的，作为一个独立的专业公司接受业主雇用履行服务的一方以及咨询工程师的合法继承人和允许的受让人。
(v)“Consultａｎt”　meaｎs ｔｈｅ parｔｙ nameｄ in　ｔhe Agrｅemｅｎｔ, ｗhｏ iｓ emplｏyed as an indepenｄｅnt proｆｅｓｓiｏnal fｉrm　ｂy the Cliｅｎｔ　tｏ perform　tｈe　Seｒvices, ａnｄ legaｌ successｏrs to the Cｏｎsultaｎt aｎd　peｒmitted assｉgnees.
(6）“一方”和“各方”是指业主和咨询工程师。“第三方”是指上下文要求的任何其他当事人或实体。
(vi)“party” and “ｐarｔｉes” meａｎs the Client　aｎｄ the Ｃｏnsuｌｔａnt ａnｄ　“tｈｉrｄ ｐarｔｙ”　meａｎs aｎy　ｏther person ｏｒ ｅntitｙ as thｅ contｅｘｔ rｅquires.ﻫ (7)“协议书”是指包括业主/咨询工程师标准服务协议书第一、二部分的条件以及附件A(服务范围)，附件B(业主提供的职员、设备、设备和其他人员的服务）,附件C（报酬和支付),中标函和正式协议书（如果已签订)，或第二部分中的其他规定。
(viｉ)ﻩ“Agreemenｔ”　ｍeａns ｔｈe Condiｔioｎs comprising ｔｈe　Ｃonditioｎs of the Clieｎt／Cｏｎsｕltaｎt Moｄel Ｓｅrviceｓ　Agrｅｅｍent (Ｇeｎeｒａl Conditiｏｎｓ　aｎd Particuｌar　Cｏnditionｓ） toｇetｈｅr　wｉtｈ Ａppｅndix A　（Sｃoｐe ｏf Sｅrｖｉｃeｓ）,　Appendix Ｂ　（Pｅrsｏnｎel, Equipment, Ｆacｉlities and　Seｒｖiｃes ｏｆ Otherｓ　ｔｏ ｂe Pｒoｖｉdｅd　bｙ　the　Clｉｅnt), Ａppendｉx C （Ｒemｕnerａtｉoｎ aｎd Ｐayment）， Leｔtｅr of Acｃeptancｅ　aｎｄ Fｏrｍal　Agｒeeｍent　iｆ ｃomｐleted， oｒ　otｈerwiｓe ａs ｓpｅcifｉed in　ｔhe Particｕlａr Conditions．
(8）“日”是指任何一个午夜至下一个午夜间的时间段。
(ｖｉiｉ) “day”　means　tｈe period ｂetｗeｅn　anｙ oｎe midniｇht anｄ the　nｅxt
(9）“月”是指根据阳历从一个月份中任何一天开始的一个月的时间段。
(ix)“mｏnth” ｍeaｎｓ a　ｐeriod　of one　month according to　the Ｇregoｒｉan ｃalenｄar　coｍmencｉng ｗitｈ any day of ｔhe month．ﻫ（10)“当地货币”(LC）是指项目所在国的货币，“外币”(ＦC）是指任何其他的货币。
(x)“Loｃａl Curreｎcｙ” (LＣ)　meａns the ｃｕｒrｅnｃy of ｔhe ｃouｎtrｙ　where thｅ Projｅcｔ is located anｄ　“Foreign Cｕrrency”　(FC） ｍｅans ａｎy ｏｔｈer　cuｒreｎcy.
(11)“商定的补偿”是指第二部分中规定的根据协议书应支付的额外款项。
(xi）ﻩ“Aｇreeｄ coｍｐenｓａtion”　mｅans additｉonal sumｓ　as ｄｅfined in the Paｒticuｌar Conditions wｈich ａre payablｅ under　thｅ　Ａgreeｍenｔ.

2.解释
INTＥRPＲETATＩON
(1）本协议书中的标题不应在其解释中使用。
(i） Thｅ heａｄingｓ　ｉｎ ｔｈe Agrｅemeｎｔ shａｌl ｎot　be uｓｅd　in iｔs interprｅtａtion.
(２）单数包含复数含义，阳性包含阴性含义。视上下文需要而定,反之亦然。
(ii） Tｈe singulaｒ ｉｎcｌuｄｅs　the pｌural, the maｓｃulinｅ iｎcludeｓ tｈe　feminｉｎe, ａnd vice-vｅrsa where　thｅ conｔeｘt requires.
（3）如果协议书中的规定之间产生矛盾,按年月顺序以最后编写的为准。
咨询工程师的义务
(iiｉ) If ｔheｒe ｉｓ ｃｏnｆlict bｅｔween provisiｏns of ｔhe Agreeｍent,　tｈe last ｔo bｅ ｗritteｎ chｒｏnologically ｓｈall preｖail， unlｅss ｏｔhｅrwiｓe ｓpeciｆied　in the Partｉcular　Conditioｎｓ．

3.服务范围
SCＯPE OＦ　SERＶICＥS
   咨询工程师应履行与项目关于的服务。服务的范围在附件Ａ中规定。
The　Ｃoｎsuｌtａnt　ｓｈalｌ perfoｒm Serviｃｅs　ｒelatｉng to ｔhe Projeｃｔ. Ｔhe　Sｃｏpe of thｅ Ｓerｖices is　staｔed　in Aｐpeｎｄｉｘ Ａ.ﻫ
4.正常的、附加的和额外的服务
NORMＡL, ＡＤＤIＴIONＡＬ ANＤ　EXＣEＰTIONＡL SEＲVIＣEＳﻫ（1）正常的服务是指附件A中所述的那类服务。
(i)Normaｌ　Seｒvicｅｓ ａre tｈｏｓe ｄｅscｒibed　as ｓuｃh iｎ Artiｃles A.2　anｄ A．３ oｆ Appendｉｘ A.
(2)附加的服务是指附件A中所述的那类或通过各方的书面协议另外附加于正常服务的那类服务。
(ii） Addｉtｉｏnaｌ　Serviｃes are those ｄｅscｒibｅd as ｓucｈ iｎ　Ａppendix　A or which　by ｗｒitten aｇreeｍeｎt oｆ　tｈe parties　ａrｅ ｏtherwｉｓｅ　aｄditiｏnａl　to Ｎoｒmal Sｅrvｉｃes.
(3)额外的服务是指那些既不是正常的也不是附加的，但根据第28条咨询工程师必须履行的那类服务。
(iii) Eｘceptｉonal　Servｉces arｅ　tｈose　wｈｉcｈ ａrｅ not Normaｌ oｒ Additｉｏnaｌ Ｓerviceｓ but　whiｃh aｒe nｅｃesｓarily pｅrｆormｅd bｙ　ｔhe　Consultａnt　iｎ　accoｒdance wｉth Claｕse　28．
５．认真地尽职和行使职权DUＴY ＯＦ CＡRE AND EXERＣIＳＥ　OF AUTHＯＲＩTY

(１)咨询工程师在根据本协议书履行其义务时,应运用合理的技能、谨慎而勤奋地工作。
(ｉ)Tｈe Consuｌtａnｔ ｓｈａll exｅrcise　rｅasoｎablｅ　sｋｉll,　cａｒｅ aｎｄ　diliｇｅnce ｉn　the ｐerfｏｒｍａnce　oｆ　ｈis　obliｇａｔionｓ under ｔhe Aｇreｅmｅnt.
(2)当服务包括行使权力或履行授权的职责或当业主与任何第三方签订的协议条款需要时，咨询工程师应:
（ii)ﻩWhere　thｅ Serｖices iｎcludｅ　ｔhe eｘerｃiｓe of pｏwers or　performanｃｅ　of dutiｅs authoriｚｅd ｏr ｒequｉred bｙ tｈe terms ｏf　a ｃontract bｅtｗeen tｈe　Client and anｙ　third pａrｔy,　the Conｓultaｎt shａlｌ
① 根据协议进行工作，如果未在附件A中对该权力和职责的详尽规定加以说明,则这些详尽规定必须是他可以接受的。
（a) ａｃt in　ａccｏrdance wiｔｈ tｈe cｏntraｃt ｐrovided　that ｔhe　dｅｔailｓ of ｓuch pｏwerｓ and　dｕｔies　are ａcceptable to hiｍ whｅrｅ　ｔhey arｅ noｔ ｄescｒibed iｎ Aｐpｅｎdｉx A.
 ②在业主和第三方之间公正地证明、决定或行使自己的处理权，如有此授权的话。但不作为仲裁人而是根据自己的职能和判断，作为一名独立的专业人员进行工作。
(b）if aｕthorｉzed tｏ certify， deｃiｄe oｒ exerｃｉsｅ　discreｔion,　dｏ sｏ faｉrｌy ｂｅtｗeeｎ the　Clieｎt and ｔhirｄ party nｏt as　aｎ arｂiｔｒator but ａs an independent prｏfessional ａｃｔs by hｉs skill aｎd ｊudｇmｅnｔ．
 ③可变更任何第三方的义务，如有此授权的话。但对于可能对费用或质量或时间产生重大影响的任何变更,须从业主处得到事先批准（除非发生任何紧急情况,此时咨询工程师应尽快通知业主）。
（c)iｆ so authorized　vary　the ｏｂligatｉｏns ｏf anｙ ｔｈird pａrtｙ, sｕbject ｔo obtａinｉng ｔhe prｉor aｐprｏｖａｌ　of the Client tｏ　any　ｖarｉａtioｎ ｗｈｉｃh cａｎ ｈaｖｅ an imｐｏｒtant eｆfect oｎ costs　ｏr qualｉtｙ or ｔｉme (exｃeｐt ｉn any ｅmeｒgency　when thｅ Consｕｌtaｎt shａll ｉｎform thｅ Clｉent ａs soon　as ｐraｃtｉcａble).
ﻫ6.业主的财产CＬIENT'S PＲOPERTY
    任何由业主提供或支付费用的供咨询工程师使用的物品都属于业主的财产,并在实际可行时应如此标明。当服务履行或终止时，咨询工程师应将履行服务中未使用的物品的库存清单提交给业主,并按业主的指示移交此类物品。此类移交应被视为附加的服务。
Anｙｔhinｇ supplｉeｄ ｂy or　paｉd for by　the Clieｎt　ｆor thｅ　usｅ of the Coｎsultant shaｌl be the pｒopeｒty oｆ ｔhe Cliｅｎt　and　wｈere ｐraｃtｉｃable　ｓhaｌl be so marked．　Ｗhen the Serｖices ａre complｅted ｏr terｍinatｅd,　tｈｅ Ｃonsｕｌｔａｎｔ shall furnｉsh invｅntｏries　ｔo the Client　of wｈａt has　nｏt　bｅｅn consumed ｉn ｔhe ｐerｆormancｅ of thｅ Ｓｅrｖiceｓ aｎd shall ｄeliveｒ it aｓ　dirｅctｅｄ by tｈｅ Clieｎt.　 Suｃh　deliverｙ　sｈａll be regaｒded aｓ an Addiｔioｎal　Ｓervice.

业主的义务
ＯBLＩGＡＴIONＳ ＯF ＴＨE　CＬIENT
７.资料文件资料ＩNFORMATIONﻫ    为了不耽搁服务，业主应在一个合理的时间内免费向咨询工程师提供她能够获取的并与服务关于的一切资料文件资料。
Ｔhe Cｌieｎt　shalｌ ｓｏ as noｔ to　delay the Ｓｅrvices aｎｄ wｉｔhin a　reasoｎabｌe time giｖe to the Consuｌtant　frｅｅ ｏｆ ｃosｔ aｌl　informatiｏｎ in hｉｓ powｅr to　oｂtａiｎ whiｃh　maｙ pertａiｎ to　ｔhｅ Servｉceｓ．ﻫ

8．决定ＤECISIOＮS
    为了不耽搁服务，业主应在一个合理的时间内就咨询工程师以书面形式提交给他的一切事宜做出书面决定。
Ｏn　alｌ　mａtterｓ　pｒopｅrｌｙ ｒeｆerred　to　him in writing bｙ　the　Ｃonｓｕltａnｔ ｔhｅ Ｃliｅnｔ shall give hｉs decision ｉn wｒｉｔing so as not to　dｅｌａｙ ｔhe Seｒｖｉces　anｄ　wiｔｈin　a　ｒeasｏnabｌe ｔiｍe

9.协助ASSISＴANCEﻫ    在项目所在国，业主应尽一切力量对咨询工程师和他的职员以及他的下级依照具体情况提供如下协助：
Ｉn the coｕｎtry　ｏf ｔｈe Proｊect and　iｎ　respeｃt ｏf ｔhe Conｓｕltaｎt, ｈis　peｒsｏｎnｅl　aｎd　dｅpendｅnts, as ｔhｅ cａse mａｙ be, ｔhｅ Ｃlieｎt shａlｌ do　ａlｌ　in ｈｉs power tｏ ａssist　ｉｎ：
    (１)提供入境、居留、工作以及出境所需的资料文件；
　(i) the ｐroｖｉsｉｏｎ　ｏf docｕｍｅｎｔs　necessaｒｙ　for eｎtry, resiｄeｎｃe,　work ａnd　exit;
    (2)提供服务所需要的畅通无阻的通道；
（ｉi)ﻩprｏvidｉng unｏｂstructeｄ accｅｓs whereｖer iｔ ｉs requｉrｅd for the Sｅrｖiceｓ；
    （3）个人财产和服务所需物品的进出口,以及海关结关;
(ｉiｉ） imｐort， export and cuｓtｏm　clｅａranｃe ｏf ｐerｓonal　ｅffeｃｔs anｄ ｏf goodｓ　rｅqｕired　foｒ ｔhｅ　Ｓeｒｖiｃes;
    （4)发生意外事件时的遣返;
(ｉv) tｈeiｒ　rｅpａtｒiaｔion in emerｇｅnｃiｅs;
    （5）提供如下权力，即允许咨询工程师因服务目的和他的职员因个人使用将外币带入该国；允许将履行服务中所赚外币带出该国;
(v) ｔhe ｐｒovisｉon　of ｔhｅ auｔhoriｔｉes　ｎeceｓsaｒy to permit the ｉmport of　foreign　cｕrrency by　the　Consultant for thｅ　Servｉｃes and　by his perｓonｎel　fｏr ｔｈｅir peｒsｏnaｌ usｅ ａｎd　to ｐerｍit thｅ export ｏｆ ｍoｎey　earｎｅd iｎ tｈｅ pｅrｆormanｃｅ ｏf ｔhe　Services;
    (6）提供与其他组织相联系的渠道,以便咨询工程师收集他要获取的信息。
（vｉ) proｖiｄｉng　aｃｃesｓ to　oｔher　ｏrｇanizatiｏnｓ foｒ ｃｏlｌeｃtiｏn oｆ iｎfoｒmatｉoｎ whｉch　is to bｅ　obｔaineｄ　by　thｅ Coｎsulｔaｎｔ.

10.设备和设备EQUIＰＭＥNT AND FACIＬITIEＳ
    业主应为服务之目的，免费向咨询工程师提供附件B中所规定的设备和设备。

11.业主的职员CＬIENT’Ｓ PERSONNＥＬ
    在与咨询工程师协商后，业主应依照附件Ｂ的规定,自费从其雇员中为咨询工程师挑选并提供职员。凡涉及服务时，此类职员只应从咨询工程师处接受指示。ﻩ

12.其他人员的服务SＥRＶICES　ＯF ＯTHＥRＳﻫ   业主应依照附件Ｂ的说明,自费安排其他人员提供服务。咨询工程师应与此类服务的提供者合作,但不对此类人员及其行为负责。

13．职员的提供SUPPLY　OＦ　PERSONNELﻫ    由咨询工程师派往项目所在国工作的职员,应接受体格检查并应能适应本职工作,同时他们的资格应得到业主的认可。

   如果业主未能提供他应负责提供的业主的职员或其他人员的服务，而各方均认为此类提供对于圆满地履行服务是必须时，咨询工程师可安排此类提供,以作为附加的服务。

14.代表REPRESEＮTATIVEＳ
   为了执行本协议书，每一方应指派一位高级职员或个人作为本方代表。

１５．职员的更换CＨANＧES IN PEＲSＯNNELﻫ   如果有必要更换任何人员，则任命方应立即安排,代之以一位具有同等能力的人员。ﻫIf it iｓ ｎeｃessarｙ to ｒｅpｌaｃe any　peｒsｏｎ， the ｐarty resｐｏnsibｌe for tｈe　aｐpoiｎtment sｈall iｍmediatｅly arranｇｅ fｏr　replaｃement bｙ　ａ　peｒsｏｎ of comparaｂle comｐetence.
  此类更换的费用应由任命方承担，除非更换是由另一方提出的。
Tｈe ｃｏst　oｆ suｃh replａcｅmｅnｔ shalｌ be bｏｒne by the ｐａrty rｅsponsｉble　ｆｏr the ａpｐｏintment　ｅｘｃepｔ ｔhat if ｔhe repｌacemeｎt iｓ ｒeqｕesteｄ by the other　pａrty,
    （1)此类更换要求应以书面形式提出,且须阐明更换理由;
(i）ﻩsuch　ｒeqｕeｓt　shalｌ　be in　ｗｒiｔｉng ｓtａtiｎg the rｅaｓon ｆor it,　ａｎd
    （2）如果渎职或未能圆满地执行任务未能作为理由设立的话，则提出要求方应承担更换费用。
(ii) tｈe ｐaｒty mａking the　request shall　ｂear　tｈe　cost　of rｅｐｌacｅｍenｔ ｕnlｅｓｓ ｍisconｄｕct ｏr inability tｏ perform saｔisfａctorily iｓ　establiｓhed as the rｅaｓon.

责任和保险
LIAＢILＩＴY　AND INSURANCE
１6.各方之间的责任LＩＡBILITＹ BETWEEN ＴHE　PARTIESﻫ1６.1咨询工程师的责任Liabilｉty　of　the Cｏｎsｕlｔant．
   如果确认咨询工程师违反了第5条（1）段，则他应仅对由本协议书引起的或与之关于的事宜负责向业主赔偿。
Ｔhe　Consultanｔ shall oｎlｙ　be lｉabｌe tｏ pay compensation　to ｔｈe Ｃlient ａrｉｓing ouｔ of or in coｎnecｔｉoｎ with　the　Ａgrｅeｍent iｆ ａ ｂrｅach ｏf Aｒｔiｃle　5.1 is estaｂlishｅｄ agaiｎst hｉm.
16.2业主的责任Liabｉlity　of　thｅ　Cliｅnt.ﻫ   如果确认业主违反了他对咨询工程师的责任,则业主应负责向咨询工程师赔偿。
Ｔhe Ｃlｉent ｓhall ｂe lｉａble　ｔo thｅ Ｃoｎsultaｎｔ ｉf a bｒeaｃh of　ｈis　duty to　ｔhe Ｃonsulｔant is ｅstablisheｄ　against the Client．
16．3赔偿Compenｓａｔiｏn.
   如果认为任何一方对另一方负有责任时,则应仅在下列条件下支付赔偿:
If it is　estaｂlｉsｈed that ｅither party　is liablｅ tｏ　the ｏther, cｏmｐenｓaｔioｎ shall ｂe ｐａｙablｅ only on the fｏllowing terms：
(1）此类赔偿应限于由此违约所造成的可合理预见的损失或损害的数额,而不是其他；
Sucｈ compenｓatｉoｎ ｓhall ｂe　ｌiｍitｅd ｔo　the　ａｍouｎt　oｆ ｒeasonaｂly foｒeｓeｅable ｌｏｓs aｎd damage　sｕｆfｅred　ａｓ　a resulｔ　of　such ｂreacｈes，　but not oｔherｗise．
(２）在任何情况下,此类赔偿的数额应限于第１８.1款规定的数额；
Iｎ　any ｅvent,　ｔhe amouｎｔ oｆ ｓucｈ comｐeｎsation will　ｂe　limited to ｔhe ａｍounｔ sｐｅｃｉfied in Clause １8．1．
（3）如果认为任何一方与第三方共同对另一方负有责任时,责任方所支付的赔偿比例应限于由于其违约所应负责的那部分比例。
