贵州省中介机构管理办法 Measures of Guizhou Province on Administration of the Intermediaries 贵州省人民政府令第110号 Decree of the People’s Government of Guizhou Province No. 110 《贵州省中介机构管理办法》已经2009年1月19日省人民政府第13次常务会议通过,现予公布,自2009年4月1日起施行。 Measures of Guizhou Province on Administration of the Intermediaries (simply referred to as ‘the Measures’ hereinafter), adopted at the 13th executive meeting of the People’s Government of Guizhou Province on January 19, 2009, are hereby promulgated and shall be effective as of April 1, 2009. 省长 林树森 Governor, Lin Shusen 二00九年一月二十二日 January 22, 2009 贵州省中介机构管理办法 Measures of Guizhou Province for Administration of the Intermediaries 第一章 总则 Chapter 1 General Provisions 第一条 为规范中介市场秩序,保障中介活动当事人的合法权益,促进中介服务业健康发展,根据有关法律、法规,结合本省实际,制定本办法。 Article 1 The Measures are formulated in accordance with relevant laws and regulations of the state and in light of the special conditions of the province for the purpose of standardizing the order of intermediary market, safeguarding the legitimate rights and interests of the personnel involved in intermediary activities and promoting the healthy development of the intermediary services. 第二条 本省行政区域内的中介机构及其活动,对中介机构的监督管理,适用本办法。 Article 2 The Measures shall apply to the supervision and administration of the intermediaries and their business activities within the administrative area of Guizhou Province. 第三条 本办法所称中介机构是指依法设立,接受委托,有偿 提供鉴证性、代理性、信息性等服务的下列法人或者其他组织: Article 3 The term “the intermediaries” as mentioned in the Measures refers to the following legal persons or other organizations set up legally and delegated to provide paid service of authentication, agency and information : (一)提供鉴定、审计、评估、检测、公证、认证等鉴证性服务的机构; (1) Institutions that provide the service of authentication, including appraisal, auditing, evaluation, detection, notarization, certification etc; (二)提供法律事务代理、招标代理、工商登记代理、专利代理、商标代理、税务代理、保险代理、因私出入境代理、演艺代理、理财、监理、拍卖、广告、经纪等代理性服务的机构; (2) Institutions that provide the service of agency, including legal affairs agency, bid inviting agency, industrial and commercial registration agency, patent agency, trademark agency, tax agency, insurance agency, personal entry & exit agency, Art performance agency, financing, supervision, auction, advertisement, brokers, etc; (三)提供婚介、资讯、咨询、人力资源、信用、技术、财务、档案等信息性服务的机构; (3) Institutions that provide the service of information, including matchmaking service, information, consulting service, human resources, credit, technique, financial affairs, archives, etc; (四)提供前述(一)、(二)、(三)项中一种或者多种服务的综合性机构或者其他机构。 (4) The integrated institutions or other institutions that provide one kind or many kinds of services listed in Items 1, 2 and 3 mentioned in the preceding paragraph. 本办法所称中介活动是指中介机构接受委托,运用专门知识、技能或者掌握的信息,向委托人有偿提供鉴证性、代理性、信息性等服务的活动。 The term “intermediary activities” mentioned in the Measures refers to the activities implemented by the intermediaries delegated to provide the clients with the paid services of authentication, agency and information by using professional knowledge, skill or the information on hand. 第四条 中介机构的管理,实行政府规范和引导、行政主管部门和行业主管部门监督管理、行业自律相结合的原则。 Article 4 The management of intermediaries shall be implemented by combining government regulation, administrative department supervision and self-discipline of the trade. 第二章 中介机构及其活动 Chapter 2 The Intermediaries and Their Activities 第五条 中介机构应当依法设立,并有与其开展业务相适应的固定场所和相应的工作人员。 Article 5 An intermediary shall be set up legally with a fixed place and working staff compatible with the business. 法律、法规对设立中介机构有资质、资格或者其他许可条件要求的,应当依照法律、法规的规定办理。 The competence, qualifications or other conditions required for the establishment of the intermediaries shall comply with relevant laws and legislations. 第六条 中介机构的执业人员应当具有与其所从事的中介活动相适应的知识、技能和职业操守。 Article 6 The professionals from an intermediary shall have the knowledge, skills and work ethic corresponding to the intermediary business they are engaged in. 法律、法规规定实行执业资格制度的,执业人员应当取得相应执业资格。 The professionals shall obtain the certificates if the certified qualification system is stipulated in relevant laws and legislations. 第七条 中介机构从事中介活动应当遵守法律、法规的规定,尊重社会公德,遵循诚实信用原则,不得损害国家利益、公共利益、委托人利益和他人合法权利。 Article 7 While engaged in intermediary activities, an intermediary shall abide by the laws and legislations, respect social ethics and follow the principle of honesty and credibility, and it shall not harm the state interest, public interest, clients’ interests and the lawful rights of other people. 第八条 中介机构不得聘用公务员任职或者执业。 Article 8 An intermediary shall not employ civil servants to hold a post or undertake intermediary activities. 不得聘用下列与原工作业务直接相关的辞去公职或者退休的公务员: The below-listed civil servants resigned or retired shall not be employed to engage in intermediary business that is directly bound up with their previous jobs: (一)原系领导成员的公务员离职三年以内; (1) The civil servants who used to be members of the leadership shall not be employed within three years after their leaving office; (二)其他公务员离职两年以内。 (2) Other civil servants shall not be employed within two years after their leaving office. 法律、法规对中介机构聘用中介执业人员另有规定的,从其规定。 Where it is stipulated otherwise by the laws and regulations on the employment of the intermediary professionals, the relevant laws and regulations shall prevail. 第九条 中介机构应当在其服务场所公示下列资料: Article 9 An intermediary shall post the following information in its business sites: (一)营业执照、执业许可证或者其他执业证明文件; (1) Business licenses, practising license or other documentary certifications; (二)执业人员姓名、照片及有关证书或者证书编号; (2) Names and pictures of the professionals as well as relevant certificates or serial numbers of the certificates; (三)收费项目、标准和依据; (3) Charge items, standards and basis; (四)监督投诉机构电话和地址; (4) The complaint telephone and address of the supervision institution; (五)法律、法规要求公示的其他事项。 (5) Other items that are required to make known to the public as stipulated in the laws and legislations. 第十条 中介机构不得采用下列不正当竞争行为招揽业务: Article 10 An intermediary shall not take following unfair competition acts to solicit business: (一)明示或者暗示可以帮助委托人达到不正当目的; (1) Explicitly or implicitly expressing that they can help the clients achieve an illicit purpose; (二)明示或者暗示可以以不正当的方式、手段帮助委托人达到目的; (2) Explicitly or implicitly expressing that they can help the clients achieve the purpose by illicit means or methods; (三)就服务结果向委托人作夸大或者虚假承诺; (3) Exaggerating the outcome of services or making a false promise for the outcome to the clients; (四)法律、法规规定的其他不正当竞争行为。 (4) Other unfair competition acts prescribed in the laws and regulations. 第十一条 中介机构在从业活动中不得接受和办理下列事项的委托: Article 11 An intermediary shall not receive and handle the following commissions when conducting its businesses: (一)帮助委托人达到不正当目的的; (1) Helping the clients achieve an illicit purpose; (二)采用不正当的方式、手段的; (2) Resorting to illicit means or methods; (三)损害国家利益、公共利益或者他人合法权利的; (3) Harming the state interest, public interest or the lawful rights of other people; (四)妨碍国家机关、依法具有管理公共事务职能的组织依法行使职权的; (4) Hindering state authorities or organizations with a legal function of the management of public affairs from performing their duties according to law; (五)具有欺骗、欺诈内容的; (5) Having deceptive and trickery contents; (六) 违反法律、法规或者公序良俗的。 (6) Violating laws and regulation, and disrupting public order or good social custom. 第十二条 中介机构不得同时接受具有利益冲突的双方或者多方委托提供代理性服务,但法律、法规另有规定的除外。 Article 12 An intermediary shall not receive the commission (providing the service of agency) from the both parties or multiple parties that have conflict of interest with one another at the same time unless otherwise specified in the laws and regulations. 中介机构同时接受具有利益冲突的双方或者多方委托,提供鉴证性或者信息性服务,应当向委托各方明示委托情况。 An intermediary shall explicitly express the commission to the involved clients when receiving the commission (providing the service of authentication or information) from the both parties or multiple parties that have conflict of interest with one another at the same time. 第十三条 中介机构提供中介服务,法律、行政法规规定或者当事人约定采用书面形式订立中介服务合同的,应当采用书面形式。 Article 13 If stipulated in the laws and legislations or agreed by the concerned parties, the written contract of the intermediary service shall be entered into. 第十四条 中介服务合同主要包括下列内容: Article 14 The contract of the intermediary service consists of the following items: (一)当事人姓名或者名称; (1) Names of the parties; (二)中介服务项目的名称、内容、要求及委托权限; (2) Name, content, requirements of the intermediary services and the scope of power entrusted (三)合同履行期限; (3) Contract period; (四)服务收费的标准、金额或者计算方法、支付方式、期限; (4) Standards and sum of service charge, computing method, mode of payment and deadline; (五)违约责任和纠纷解决方式; (5) Liabilities for breach of contract and settlement of dispute (六)当事人认为需要约定的其他内容。 (6) Other contents to be included as requested by the parties concerned 第十五条 中介机构应当按照公示的收费项目、标准或者中介服务合同的约定向委托人收取费用。 Article 15 An intermediary shall collect the fees from the clients in accordance with the charge items and standards as displayed publicly or stipulated in the contract of the intermediary service. 实行政府定价或者政府指导价的中介服务,中介机构应当执行政府定价或者政府指导价的相关规定。 With regard to the intermediary services that are put under government-set or government-guided prices, the intermediaries shall carry out relevant regulations on government-set or government-guided prices. 第十六条 中介机构不得串通他人或者以其他方式损害委托人的合法利益。 Article 16 An intermediary shall not collude with other people or use other means to harm the lawful rights and interests of the clients. 中介机构不得利用提供中介服务之便,牟取不正当利益。 An intermediary shall not reap unfair benefits by taking advantage of the convenience of the intermediary service. 第十七条 中介机构应当向委托人披露与委托事项相关的信息,但法律、法规禁止披露的除外。 Article 17 An intermediary shall reveal the information related to the commission to the clients, unless otherwise prohibited by the laws and regulations. 中介机构不得向委托人提供虚假信息。 An intermediary shall not provide false information for the clients. 第十八条 中介机构出具的文件内容应当真实,严禁出具虚假的资信证明、评估报告、审计报告、鉴证书等文件。 Article 18 An intermediary shall issue the truthful documents and shall not issue the false credit certificates, assessment reports, audit reports, papers of verification, etc. 中介机构不得向社会散布虚假信息。 An intermediary shall not release the false information to the society. 第十九条 中介机构及其执业人员在办理委托事项过程中知悉委托人的商业秘密、技术秘密、个人隐私的,应当保守秘密。 Article 19 An intermediary and its professionals shall keep confidential the clients’ trade secrets, know-how and personal privacy that they come to know, during their practicing activities. 第二十条 中介机构提供中介服务应当建立执业记录,记载中介服务合同的订立、委托事项、办理过程、结果、费用的计算及支付等事项,并按照法律、法规规定的期限妥善保管;法律、法规未规定的,保管期限不得低于三年。 Article 20 When providing the intermediary services, an intermediary shall establish a practising record of the signing of contract, contents of commission, handling process, outcome, calculation of the fees and payment, etc. The record shall be properly kept within the specified period pursuant to law; the safekeeping period shall not be less than 3 years if there are no relevant provisions on it in laws and regulations. 第二十一条 鼓励中介机构以风险准备金或者执业责任保险等形式建立执业风险准备制度。 Article 21 An intermediary is encouraged to set up risk reserve system by risk reserve fund or professional liability insurance, etc. 第二十二条 自然人、法人或者其他组织有权自主选择符合条件的中介机构为其提供服务。 Article 22 The natural person, legal person or other organizations are entitled to select an intermediary that meets their requirements for the service. 第三章 行业自律 Chapter 3 Self-discipline of the Trade 第二十三条 中介行业协会应当加强行业自律,对中介机构、中介执业人员进行行业自律监督管理,维护会员的合法权益,指导本行业的发展。 Article 23 The Intermediaries’ Trade Association shall strengthen self-discipline within the trade, supervise the self-management of the intermediary and its professionals, safeguard the members’ lawful rights and interests, and guide the development of the trade. 鼓励中介机构、中介执业人员加入中介行业协会,法律、法规另有规定的,从其规定。 An intermediary and its professionals are encouraged to join the Intermediaries’ Trade Association. Provided that it is stipulated otherwise by the laws and regulations, the relevant laws and regulations shall prevail. 第二十四条 中介行业协会可以依照协会章程制订本行业职业道德规范、会员执业规范和纪律、会员奖惩规则,对会员实施奖惩。 Article 24 The Intermediaries’ Trade Association is entitled to reward and punish its members by formulating Code of Profession Conduct, practising criteria and discipline for the members, rewards and punishment rules for the members according to the association charter. 第二十五条 中介行业协会应当在行政主管部门的监督和指导下建立会员信用档案。 Article 25 The Intermediaries’ Trade Association shall create archives of the members’ credit under the supervision and guidance of the administrative departments. 第二十六条 中介行业协会发现违法中介活动应当及时向行政主管部门报告,并协助、配合行政主管部门进行调查。 Article 26 The Intermediaries’ Trade Association shall timely report to the administrative departments, assist in and cooperate with the investigation where there are illegal intermediary activities. 第二十七条 中介行业协会可以根据政府的授权、委托参与制定、修订行业标准、行业发展规划及行业准入条件,提出行业管理方面的建议,协助政府开展反不正当竞争、反垄断、反倾销等方面的调查,向政府和相关行政主管部门提供本行业发展趋势的情况。 Article 27 Authorized and delegated by the government, the Intermediaries’ Trade Association may participate in formulating or revising the trade standards, development planning of the trade and the trade admittance conditions, put forward suggestions on the management of the trade, assist the government in implementing the investigation of anti-unfair competition, anti-monopoly and anti-dumping, and provide the government and the administrative departments with some information of development tendency of the trade. 第四章 监督管理 Chapter 4 Supervision and Administration 第二十八条 县级以上地方人民政府应当创造良好的环境和条件,积极扶持、引导、规范中介服务业的健康发展。 Article 28 Local people’s governments above the county level shall create good environment and conditions to support, guide and standardize the sound development of the intermediary services. 县级以上地方人民政府各相关行政主管部门应当根据管理权限,负责有关中介机构、中介执业人员的监督管理,指导和监督中介行业协会对中介机构、中介执业人员实施行业自律。 Relevant administrative departments of a local government above the county level shall, pursuant to its function and duties, be responsible for the supervision and management of the intermediaries and their professionals; guiding and supervising the Intermediaries’ Trade Association to implement the self-discipline of the trade. 第二十九条 行政主管部门依法对中介机构进行检查时,被检查的中介机构、中介执业人员应当予以配合,不得藏匿、伪造、毁灭应当接受检查的相关资料。 Article 29 An intermediary and its professionals shall cooperate, and shall not conceal, forge or destroy relevant documents that should be inspected when being inspected by the administrative departments according to law. 行政主管部门进行检查时,可以采取记录、录音、录像、照相和复制等方式。 The administrative departments can carry out the inspection by note-taking, sound recording, cameral shooting, photographing and duplicating, etc. 行政主管部门实施检查应当目的正当、程序合法,不得妨碍被检查人正常的业务活动,不得索取或者收受被检查人的财物,不得谋取其他利益。 The administrative departments shall implement the inspection with a legitimate purpose and through legal formalities, They shall not interfere with the normal business operations of the inspected personnel, extort or accept money or things of value from the inspected personnel, or try- 配套讲稿:
