Contract of Employment

I. Party A wishes to engage the service of Party B as an English teacher. The two parties, in a spirit of friendly cooperation, agree to sign this contract and pledge to fulfill conscientiously all the obligations stipulated hereinafter. 一，甲方愿意聘用一名英语教师对乙方的服务。双方在友好合作的精神，自愿签订本合同并保证认真履行下文规定的各项义务
II. The period of service will be from the 15th day of August, 2009 to the 15th day of July, 2010. 二。服务期将从8月15日，2009年7月15日，2010年。
III. The duties of Party B:
1. Party B shall have 25 hours of teaching to do every week.
2. Party B shall finish some recording tasks as Party A requires.
3. Party B shall do some odd jobs when Party A thinks them necessary.
IV. Party B’s monthly salaries will be ￥4,000 RMB, 20% of which can be converted into foreign currency monthly. 三。乙方的职责：

1。乙方有25个教学小时，每星期做。

V. Party A’s obligations: 五，甲方的义务：
1. Party A shall introduce to Party B the laws, decrees and relevant regulations enacted by the Chinese government, the Party A’s work system and regulations concerning administration of foreign experts. 1。甲方向乙方介绍的法律，法令和我国政府颁布的有关规定，党的工作制度和有关外国专家的管理规定。
2. Party A shall conduct direction, supervision and evaluation of Party B’s work. 2。甲方应进行指导，监督和乙方的工作的评价。
3. Party A shall provide Party B with necessary working and living conditions. 3。甲方应提供必要的工作和生活条件，乙方
4. Party A shall provide co-workers. 4。甲方提供同事。
5. Party A shall pay Party B’s salary regularly by the month. 5。甲方应支付乙方的月工资的定期。
VI. Party B’s obligations: 六。乙方的义务：
1. Party B shall observe the laws, decrees and relevant regulations enacted by the Chinese government and shall not interfere in China’s internal affairs. 。乙方应当遵守法律，法规和我国政府颁布的有关法规，不得干涉中国的内政。
2. Party B shall observe Party A’s work system and regulations concerning administration of foreign experts and shall accept Party A’s arrangement, direction, supervision and evaluation in regard to his/her work. Without Party A’s consent, Party B shall not render service elsewhere or hold concurrently any post unrelated to the work agreed on with Party A. 2。乙方应遵守甲方的工作制度和有关外国专家的管理规定，并应接受甲方的安排，指导，监督和关于他/她的工作的评价。未经甲方同意，乙方不得在其他地方提供服务兼任任何职务无关的工作，同意与甲方
3. Party B shall complete the tasks agreed on schedule and guarantee the quality of work. 3。乙方应完成的任务商定的时间表，保证工作质量
4. Party B shall respect China’s religious policy, and shall not conduct religious activities incompatible with the status of an expert. 4。乙方应尊重中国的宗教政策，不得从事与专家身份不符的活动。

VII. Revision, cancellation and termination of the Contract七。变更，解除和终止合同
1. Both parties shall abide by the contract and should refrain from revising, cancelling, or terminating the contract without mutual consent. 1。双方应信守合同，并应避免修改，取消，或未经双方同意终止合同。
2. The contract may be revised, cancelled, or terminated with mutual consent. Before both parties have reached an agreement, the contract should be strictly observed. 2。该合同的变更，取消，或双方协商同意终止。之前双方已达成的协议，合同应得到严格遵守。
3. Party A has the right to cancel the contract with a written notice to Party B under the following conditions: 3。甲方有权取消以书面通知在下列情况下向乙方合同：
(1) Party B does not fulfill the contract or does not fulfill the contract obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out. （1）乙方不履行合同或不履行合同义务按照约定条件，并没有修改后甲方指了出来。
(2) According to the doctor’s diagnosis, Party B cannot resume normal work after a continued 30-day sick leave. 2）根据医生的诊断，乙方无法恢复后，连续30天的病假正常工作。
4. Party B has the right to cancel the contract with a written notice to Party A under the following conditions: 4。乙方有权取消以书面通知在下列情况下向甲方解除合同：
(1) Party A has not provided Party B with necessary working and living conditions as stipulated in the appendix. （1）甲方没有提供必要的工作和生活条件，乙方在附录中规定的。
(2) Party A has not paid Party B as scheduled. （2）甲方乙方没有如期支付。
VIII. Breach Penalty八。违约金
When either of the two parties fails to fulfill the contract or fails to fulfill the contract obligations according to the terms stipulated, that is, breaks the contract, it must pay a breach penalty of US$ 500 to US$ 2,000 (or the equivalent in RMB) to the other party. 当两个当事人一方不履行合同或者不履行合同义务按照约定条件，即打破了合同，必须支付1美元的违约金500元至2,000美元（或等值人民币）给对方。
If Party B asks to cancel the contract due to events beyond control, it should produce certifications by the department concerned, obtain Party A’s consent, and pay its own return expenses; if Party B cancels the contract without valid reason, it should pay its own return expense and pay a breach penalty to Party A. 如乙方要求解除合同的合同因不可抗力事件，应出具有关机构证明，经甲方同意，并支付其自行返回开支;受聘方若无故合同，应当支付其自己的返回费用，并支付违约金给甲方
If Party A asks to cancel the contract due to events beyond control, with the consent of Party B, it should pay Party B’s return expenses; if Party A cancels the contract without valid reason, it should pay Party B’s return expense and pay a breach penalty to Party B. 如甲方要求解除合同的合同因不可抗力事件与乙方的同意，应支付乙方的回报开支;若甲方取消无故解除合同，应支付乙方的返回费用，并支付违约罚款乙方
IX. The appendix of this contract is an inseparable part of this contract and has equal effect. 九。九，本合同附件是本合同不可分割的一部分，具有同等效力。
X. This contract shall come to force after the signatures by both parties and will automatically expire when the contract ends. If either of the two parties asks for a new contract, it should forward its request to the other party 90 days prior to the expiration of the contract, and sign the new contract with mutual consent. Party B shall bear all expenses incurred when staying on after the contract expires. 十，本合同生效后到双方并会自动失效的合同到期时的签名。如果当事人一方要求签订新合同，应提出其要求对方90天前到合同期满，并经双方协商同意签订新合同。乙方应承担在华逗留期间发生的合同期满后的一切费用自理。
XI. Arbitration十一。仲裁
The two parties shall consult with each other and mediate any disputes that may arise concerning the contract. If all attempts fail, the two parties may appeal to the organization of arbitration for foreign experts’ affairs in the State Bureau of Foreign Experts in China and ask for a final arbitration. 双方应当通过协商或者调解纠纷可能引起的合同。如果所有尝试都失败，双方可以上诉的目的是为外国专家事务仲裁在中国国家外国专家局组织，并要求作最后仲裁。
This Contract is signed in Guangzhou, in duplicate, the 15th day of July, 2009, in the Chinese and English languages, both texts being equally valid. 本合同在广州签订，一式两份，7月，2009年15天，在中文和英文写成，两种文本具有同等效力。
