鉴于，甲方具有动物标本供应的能力和资质，乙方有动物标本采购的需求，双方经友好协商，达成以下协议：
第一条 供应商品及数量
1.1 甲方承诺向乙方供应优质的动物标本，具体品种和数量详见附件一《动物标本清单》。
1.2 甲方保证所供应的动物标本符合国家相关规定的质量标准，不存在任何质量问题。
第二条 交货时间和地点
2.1 甲方按照附件一的清单要求，将动物标本送达乙方指定的交货地点，具体交货时间和地点以实际操作为准。
2.2 若因不可抗力等原因导致交货延迟，甲方应当及时通知乙方，并重新协商交货时间。
第三条 价格和支付方式
3.1 动物标本的价格为人民币（￥）____元，乙方应当按照实际交付的数量支付相应款项。
3.2 乙方应在收到动物标本后的_____日内将货款支付至甲方指定账户。
第四条 质量保证
4.1 甲方保证所供应的动物标本均为新鲜、完整的标本，且符合国家相关规定的质量标准。

Whereas, Party A has the capability and qualifications to supply animal specimens, and Party B has the demand for animal specimen procurement, the two parties have reached the following agreement through friendly negotiations:
Article 1 Supply of Goods and Quantity
1.1 Party A undertakes to supply high-quality animal specimens to Party B. The specific species and quantity are detailed in Appendix One "Animal Specimen List".
1.2 Party A guarantees that the animal specimens supplied meet the quality standards stipulated by relevant national regulations and have no quality issues.
Article 2 Delivery Time and Place
2.1 Party A will deliver the animal specimens to the delivery location designated by Party B according to the requirements in Appendix One. The specific delivery time and place shall be subject to actual operation.
2.2 If the delivery is delayed due to force majeure or other reasons, Party A shall notify Party B promptly and renegotiate the delivery time.
Article 3 Price and Payment Method
3.1 The price of the animal specimens is RMB _____ yuan, and Party B shall pay the corresponding amount based on the actual quantity delivered.
3.2 Party B shall make the payment to the designated account of Party A within _____ days after receiving the animal specimens.
Article 4 Quality Assurance
4.1 Party A guarantees that the animal specimens supplied are fresh, intact specimens that meet the quality standards stipulated by relevant national regulations.
4.2 If Party B discovers any quality issues after receiving the animal specimens, Party B shall raise written quality objections to Party A within _____ days and provide relevant proof. Party A shall promptly negotiate a resolution upon receipt of the objections.
Article 5 Breach of Contract Liability
5.1 If the delivery is delayed or the quality of the animal specimens does not meet the requirements due to Party A’s fault, Party A shall bear the corresponding liability for breach of contract.
5.2 If the payment is delayed or Party B is unable to pay the payment due to Party B’s fault, Party B shall bear the corresponding liability for breach of contract.
5.3 In case of breach of contract by either party, the defaulting party shall pay _____% of the total contract amount as liquidated damages to the other party.
Article 6 Confidentiality Clause
6.1 Both parties shall strictly keep confidential any business secrets or important information involved in the performance of this contract, and shall not disclose it to third parties.

Article 7 Intellectual Property Rights

Article 8 Amendment and Interpretation of the Contract

Article 9 Applicable Law and Dispute Resolution
9.1 The signing, performance, and interpretation of this contract shall be governed by the laws of the People's Republic of China.
9.2 In case of a dispute between the two parties, they shall try to resolve it through friendly negotiations. If negotiations fail, the dispute shall be submitted to ____ Arbitration Commission for arbitration, and the arbitration award shall be final.
Article 10 Miscellaneous
10.1 This contract shall become effective upon being signed and sealed by both parties and has a term of ____ years. If the cooperation needs to be continued after expiration, the two parties may negotiate the renewal of the contract.
