鉴于甲方自有产品产量大，欲将产品加工出口，为有效保障双方权益，甲、乙双方本着平等互利、合作共赢的原则，根据中华人民共和国相关法律法规，达成如下协议：
第一条 合作内容
1.1 甲方授权乙方对甲方所指定的产品进行加工处理，并按照甲方要求对加工后的产品进行出口销售；
1.2 乙方承诺在加工过程中，严格按照甲方的质量要求进行加工处理，确保产品符合国际市场标准，遵守各项技术规范和标准；
1.3 双方合作的产品种类、数量、价格等具体事项详见附件《合作产品清单》。
第二条 合作期限
本协议自双方签署之日起生效，有效期为___年___月___日，届满后自动终止，双方如需继续合作须另行协商。
第三条 产品加工
3.1 乙方应根据甲方的要求，对产品进行加工处理，包括但不限于原材料采购、生产加工、包装等环节，确保产品质量符合市场要求；
3.2 乙方应具备相关的生产设备及技术人员，确保加工过程顺利进行；
3.3 甲方有权对乙方的加工过程进行监督和检查，确保产品质量符合要求。
第四条 产品销售
4.1 乙方应按照甲方的指示将加工好的产品进行出口销售，确保销售额符合双方的盈利预期；
4.2 乙方应妥善处理与产品销售相关的文件手续，包括但不限于报关手续、运输安排等；
4.3 乙方应于销售结束后及时向甲方提交销售报告和结算明细。
第五条 保密条款
5.1 双方应对合作过程中涉及的商业秘密和合作内容予以严格保密，未经对方书面同意，不得向第三方透露；
5.2 乙方应妥善保管甲方提供的技术资料和产品样品，不得复制、转让或用于其他用途。
第六条 违约责任
6.1 任何一方未按本协议的约定履行义务或违反协议规定的，应承担相应的违约责任；
6.2 如因一方的原因导致合作受损，应由违约方承担赔偿责任，赔偿金额由双方协商确定。
第七条 协议变更
本协议的任何变更、补充须经双方协商一致，并以书面形式作出。
第八条 争议解决
因本协议引起的争议，双方应友好协商解决，若协商不成，任何一方均可向有管辖权的人民法院提起诉讼解决。
第九条 协议终止
9.1 协议期满后若双方未就续签协议达成一致意见，则本协议自动终止；
9.2 双方一方违反协议约定致使合作受损，经对方书面提出整改意见后逾期未予整改的，对方有权提前终止本协议。
第十条 生效和解释
本协议自双方签署之日起生效。本协议的解释权属于双方。

In view of the large production volume of Party A's own products and the desire to process and export the products, in order to effectively protect the interests of both parties, Party A and Party B, based on the principles of equality, mutual benefit, and win-win cooperation, and in accordance with the relevant laws and regulations of the People's Republic of China, reach the following agreement:
Article 1 Cooperation Content
1.1 Party A authorizes Party B to process the products designated by Party A and export and sell the processed products according to Party A's requirements;
1.2 Party B promises to strictly process the products according to Party A's quality requirements during the processing, ensuring that the products meet international market standards and comply with various technical specifications and standards;
1.3 Details of the specific items such as the types, quantities, and prices of the products in the cooperation can be found in the appendix "Product List for Cooperation".
Article 2 Cooperation Period
This agreement shall take effect from the date of signature by both parties and shall be valid until ____(date)____, automatically terminating upon expiration. If both parties wish to continue the cooperation, they shall negotiate separately.
Article 3 Product Processing
3.1 Party B shall process the products according to Party A's requirements, including but not limited to raw material procurement, production processing, packaging, etc., to ensure that the product quality meets market requirements;
3.2 Party B shall have relevant production equipment and technical personnel to ensure the smooth progress of the processing process;
3.3 Party A has the right to supervise and inspect Party B's processing process to ensure that the product quality meets the requirements.
Article 4 Product Sales
4.1 Party B shall export and sell the processed products according to Party A's instructions, ensuring that the sales amount meets the profit expectations of both parties;
4.2 Party B shall handle the documents and procedures related to product sales properly, including but not limited to customs clearance procedures, transportation arrangements, etc.;
4.3 Party B shall timely submit sales reports and settlement details to Party A after the end of sales.
Article 5 Confidentiality
5.1 Both parties shall strictly keep confidential the business secrets and cooperation content involved in the cooperation, and shall not disclose them to third parties without the written consent of the other party;
5.2 Party B shall properly keep the technical information and product samples provided by Party A, and shall not copy, transfer, or use them for other purposes.
Article 6 Breach of Contract Liability
6.1 If either party fails to perform its obligations as agreed in this agreement or violates the agreement, it shall bear corresponding breach of contract liability;
6.2 If the cooperation is damaged due to one party's reasons, the defaulting party shall bear the compensation liability, and the amount of compensation shall be determined through negotiation between both parties.
Article 7 Amendment of Agreement
Any amendment or supplement to this agreement must be agreed upon by both parties and made in writing.
Article 8 Dispute Resolution
Any disputes arising from this agreement shall be resolved amicably by both parties. If the negotiation fails, either party may bring a lawsuit to the competent People's Court.
Article 9 Termination of Agreement
9.1 If both parties fail to reach an agreement on renewing the agreement after the expiration of the term, this agreement shall automatically terminate;
9.2 If one party violates the agreement causing damage to the cooperation, and fails to make corrections within the deadline after the other party submits a rectification opinion in writing, the other party has the right to terminate this agreement in advance.
Article 10 Effectiveness and Interpretation
This agreement shall take effect from the date of signature by both parties. The right to interpret this agreement belongs to both parties.
