Whereas Party A and Party B have the ability and conditions to fulfill the cooperation matters under this agreement, in order to clarify the rights and obligations of both parties, and based on the principles of equality, mutual benefit, honesty, and trustworthiness, Party A and Party B have reached the following cooperation agreement through friendly negotiations:
Article 1 Cooperation Content
1. Party B, as a supplier of Party A, provides (specific goods or services) to Party A, and Party A pays the corresponding payment for the goods or services.
2. Both parties agree to maintain a friendly cooperative relationship during the cooperation period to promote the development and growth of the cooperative business.
Article 2 Cooperation Period
This agreement shall come into effect upon signature by both parties and shall terminate upon the completion of the cooperation content.
Article 3 Price and Settlement
1. The price at which Party A purchases goods or services from Party B shall be based on the agreed price between the two parties, and the price shall not be adjusted during the cooperation period.
2. Party B shall provide invoices and settlement documents, and Party A shall pay for the goods or services in accordance with the agreed time and method.
Article 4 Confidentiality
1. Both parties shall keep confidential any business secrets that may arise during the cooperation and shall not disclose them to third parties.
2. The defaulting party shall bear the legal responsibility for any disputes or losses caused by the improper performance of the confidentiality obligations.
Article 5 Breach of Contract Liability
1. If Party A or Party B violates any terms of this agreement, they shall bear the corresponding liability for breach of contract.
2. The defaulting party shall make corrections within a reasonable period after receiving written notice from the other party. If unable to rectify, they shall compensate the other party for any losses incurred.
Article 6 Dispute Resolution
In case of disputes between the two parties, they shall resolve them through friendly negotiations; if negotiations fail, they shall submit the dispute to the competent people's court for resolution.
Article 7 General Provisions
This agreement shall come into effect upon signature by both parties and shall terminate upon the completion of the cooperation content. This cooperation agreement is made in duplicate, with each party holding one copy, both of which have equal legal effect.
