鉴于，甲方是一家依法设立并有效存续的信托公司，具备开展信托业务的资质和能力；乙方系根据受益人清晰分层原则设立的特定资产安排，由受益人依法设立并具有法定授权的独立法人组成，属于一家依法存续的合法主体；为了双方共同合作，共同发展，按照平等互利、诚实信用和诚实守信的原则，甲、乙双方经友好协商，达成如下协议：
二、信托目的
甲方同意出资设立信托，按照受益人规定的受益权益内容和范围，管理、支配和处置信托财产，从受益人的视角出发，实现信托产业的战略目标。
三、信托财产
1. 乙方和受益人确定的信托财产是指由受益人拟投入到信托业务中的款项，具体包括但不限于资金、资产、股权、债券等。
2. 乙方根据受益人要求，将信托财产划转至甲方名下的信托账户，并由甲方管理、支配。甲方应当按照诚实信用和尽职管理的原则，认真履行管理职责，保证信托财产的安全、稳健增值。
3. 信托财产产生的收益、利息、股利等，应当按照受益人的规定进行合理分配。
四、受益权
1. 受益权是指受益人按照信托协议约定享有的权益，包括但不限于收益权、转移权、处分权等。
2. 受益人享有的权益应当优先分配，甲方在经受益人明确授权的情况下，可以根据具体情况对受益权进行管理和处置。
3. 受益权的行使事项，包括但不限于合作投资、资金调取、盈亏分配等，应当按照本协议和相关法律法规的规定进行，符合受益人的意愿和利益。
五、风险管理
1. 甲方作为受托人，应当制定完善的风险管理制度，合理控制信托财产的风险，确保受益人的合法权益不受损害。
2. 受益人应当按照甲方的要求提供真实、准确、完整的资产信息和风险状况，保证信托财产的稳健增值和安全运行。
3. 受益人和甲方应当共同配合，诚实合作，及时回复对方的信息和咨询，共同应对信托业务中的各类风险和挑战。
六、协议生效
1. 本协议自双方盖章后生效，自本协议签订之日起生效，为期_____年。

Whereas Party A is a trust company lawfully established and validly existing, with the qualification and capability to conduct trust business; Party B is a specific asset arrangement established by the Beneficiary according to clear hierarchical principles, composed of independent legal persons lawfully established and authorized by law, and belongs to a lawful entity that exists under the law. In order to cooperate and develop together, Party A and Party B, based on the principles of equality, mutual benefit, honesty and credibility, reached the following agreement through friendly negotiations:
2. Trust Purpose
Party A agrees to establish a trust by investing funds, managing, controlling, and disposing of trust assets according to the Beneficiary's specified scope of benefits, to achieve the strategic goals of the trust industry from the Beneficiary's perspective.
3. Trust Property
1. The trust property identified by Party B and the Beneficiary refers to the funds, assets, equities, bonds, etc., intended to be invested in trust business by the Beneficiary, including but not limited to.
2. Party B transfers the trust property to the trust account established by Party A on the instructions of the Beneficiary, and Party A manages and controls it. Party A shall diligently fulfill its management responsibilities in accordance with the principles of honesty and due diligence to ensure the safety and stable appreciation of the trust property.
3. The income, interest, dividends, etc., generated from the trust property shall be reasonably distributed according to the Beneficiary's regulations.
4. Beneficial Rights
1. Beneficial rights refer to the rights enjoyed by the Beneficiary as agreed in the trust agreement, including but not limited to profit rights, transfer rights, disposal rights, etc.
2. The rights enjoyed by the Beneficiary shall be prioritized for distribution. With the explicit authorization of the Beneficiary, Party A may manage and dispose of beneficial rights according to specific circumstances.
3. The exercise of beneficial rights, including but not limited to cooperative investments, fund calls, profit and loss distributions, etc., shall be carried out in accordance with this Agreement and relevant laws and regulations, meeting the wishes and interests of the Beneficiary.
5. Risk Management
1. Party A, as the trustee, shall establish a sound risk management system, reasonably control the risks of trust property, and ensure that the legitimate rights and interests of the Beneficiary are not harmed.
2. The Beneficiary shall provide accurate, complete, and truthful asset information and risk situations in accordance with Party A's requirements to ensure the steady appreciation and safe operation of the trust property.
3. The Beneficiary and Party A shall cooperate honestly, respond promptly to each other's information and inquiries, and jointly address the various risks and challenges in trust business.
6. Agreement Effectiveness
1. This Agreement shall take effect upon the sealing by both parties, starting from the date of signing and lasting for _____ years.
2. During the term of this Agreement, neither party shall change the contents and provisions of this Agreement without the written consent of the other party.
