一、合作目的及背景
本协议由甲方（以下简称“甲方”）和乙方（以下简称“乙方”）双方自愿达成，旨在通过合作，共同开发和推广教育技术及资源，提升教育质量和效果，促进教育领域的发展。
1.1 目的
通过双方合作，共同探讨、研究和运用各类教育技术，提高教学效果，促进教育创新，实现教育资源共享，推动教育现代化。

二、合作内容与形式

三、合作期限及地点

四、权利与义务
4.1 甲方的权利和义务

（4）其他双方事先明确的权利和义务。
4.2 乙方的权利和义务
（1）积极参与合作项目的实施和推广；

（3）保护甲方在合作过程中的商业秘密和技术资料；
（4）其他双方事先明确的权利和义务。
五、保密条款
本协议适用保密条款，未经双方书面同意，任何一方不得向第三方透露合作内容、商业秘密以及其他保密信息。任何因违反保密条款而造成的损失，均由泄密方承担责任。
六、协议解除与终止
6.1 协议解除
经双方协商一致，可以解除本协议。解除协议需提前书面通知对方，并明确解除原因和后续处理办法。
6.2 协议终止
本协议可因以下原因之一而终止：
（1）合作目标完成；
（2）双方协商一致终止；
（3）合作出现严重违约行为。
七、争议解决
双方如发生争议，应以友好协商为原则，如协商无果，应提交所属法院解决。
八、其他条款
8.1 本协议一式两份，甲乙双方各执一份，具有同等法律效力。
8.2 本协议自双方签字盖章之日起生效。
8.3 本协议未尽事宜，双方可另行协商确定。
九、协议变更
本协议如需修改或补充，须经双方协商一致并签署书面补充协议。任何对本协议的修改或补充，应当与本协议具有同等效力。

Cooperation Period and Location

If there is a need for renewal or extension, the two parties can negotiate to determine the extension of the cooperation period.
Cooperation Location

Rights and Obligations
Party A's Rights and Obligations
(1) Provide educational resources and technical support;
(2) Undertake the specific implementation work of the cooperation project;
(3) Ensure the smooth progress of educational technology cooperation;
(4) Other rights and obligations agreed upon in advance by both parties.
Party B's Rights and Obligations
(1) Actively participate in the implementation and promotion of cooperation projects;
(2) Fully leverage its own advantages to cooperate with Party A to complete cooperation tasks;
(3) Protect Party A's business secrets and technical information during cooperation;
(4) Other rights and obligations agreed upon in advance by both parties.
Confidentiality Clause
This agreement is subject to a confidentiality clause, and without the written consent of both parties, either party shall not disclose cooperation content, business secrets, and other confidential information to third parties. Any losses caused by violating the confidentiality clause shall be borne by the party that leaked the information.
Termination and Cancellation of the Agreement
Agreement Cancellation
The agreement can be canceled by mutual agreement of the two parties. The cancellation of the agreement requires written notice to the other party in advance, clarifying the reasons for cancellation and follow-up handling methods.
Agreement Termination
This agreement may be terminated for the following reasons:
(1) Completion of cooperation objectives;
(2) Mutual agreement to terminate;
(3) Serious breach of contract in cooperation.
Dispute Resolution
In the event of a dispute between the two parties, they should seek a friendly negotiation as a principle. If negotiation fails, the dispute should be submitted to the competent court for resolution.
Other Clauses
This agreement consists of two copies, with Party A and Party B holding one copy each, having equal legal effect.
This agreement shall come into effect from the date of signature and stamping by both parties.
For matters not covered by this agreement, the two parties may negotiate separately.
Agreement Changes
Any modifications or supplements to this agreement must be agreed upon by both parties and signed in a written supplementary agreement. Any changes or additions to this agreement shall have the same effect as this agreement.
