鉴于：
鉴于甲方为______________产品的制造商，乙方有意向委托甲方进行生产制造服务，双方经友好协商，达成如下协议，以诚信合作，共同发展。
Whereas:
Party A is the manufacturer of ________________ products, and Party B intends to commission Party A for manufacturing services. After friendly negotiations, both parties have reached the following agreement for honest cooperation and mutual development.
一、合同范围
1. Contract Scope
1.1 甲方将在____________________工厂或场地，根据乙方提供的生产制造要求，委托生产制造以下产品：______________。
1.1 Party A shall manufacture the following products: ________________ in the factory or site of ________________ according to the production requirements provided by Party B.
1.2 乙方应及时提供产品的设计图纸、规格要求、质量标准、原材料等所有必要的生产制造信息，并配合甲方进行生产排程安排。
1.2 Party B shall timely provide all necessary manufacturing information such as design drawings, specifications, quality standards, raw materials, etc., and cooperate with Party A for production scheduling.
1.3 乙方需保证提供的产品设计符合相关法律法规并不侵犯他人知识产权，如有纠纷由乙方负责解决。
1.3 Party B shall ensure that the product design provided complies with relevant laws and regulations and does not infringe upon the intellectual property rights of others. Any disputes arising shall be the responsibility of Party B to resolve.
二、生产周期
2. Production Period
2.1 生产周期为____________________，具体时间由双方另行商定。
2.1 The production period shall be ________________, with the specific timing to be agreed upon by both parties.
2.2 若因不可抗力因素导致生产周期延迟，延期天数双方协商处理。
2.2 If the production period is delayed due to force majeure factors, the extension of days shall be handled by mutual agreement.
三、质量保证
3. Quality Assurance
3.1 甲方保证生产的产品符合乙方提供的设计要求及质量标准，严格按照国家相关法律法规进行生产。
3.1 Party A guarantees that the manufactured products meet the design requirements and quality standards provided by Party B, and strictly comply with relevant national laws and regulations.
3.2 出现产品质量问题时，甲方承担产品召回及返工费用，乙方负责生产任务调整及损失赔偿。
3.2 In the event of product quality issues, Party A shall bear the costs of product recall and rework, while Party B is responsible for production task adjustments and compensation for losses.
3.3 双方应建立质量检测与评估机制，进行定期的产品质量检查，确保合同履行质量标准。
3.3 Both parties shall establish a quality inspection and evaluation mechanism, conduct regular product quality checks, and ensure compliance with the quality standards of the contract.
四、报酬及支付方式
4. Remuneration and Payment Method
4.1 乙方需按约定支付给甲方的生产制造费用为______________，以____________________方式支付。
4.1 Party B shall pay the agreed manufacturing cost to Party A in the amount of ________________, to be paid by ________________ method.
4.2 乙方应在委托生产开始前支付____%的预付款，其余款项应在生产完成后____日内结清。

五、保密条款
5. Confidentiality Clause

5.1 Both parties shall keep confidential any sensitive information obtained during the performance of this agreement and shall not disclose it to any third party without the written consent of the other party.
5.2 本条款在本协议终止后仍然有效。

六、违约责任
6. Breach of Contract Liability
6.1 若甲方未按约定时间完成生产制造任务，应按日向乙方支付违约金计算方式：______________。
6.1 If Party A fails to complete the manufacturing tasks within the agreed time, Party A shall pay liquidated damages to Party B on a daily basis in the amount of ________________.

七、争议解决
7. Dispute Resolution
7.1 若双方在履行合同过程中发生争议，应友好协商解决；协商不成的，提交仲裁机构进行仲裁。
7.1 In case of disputes between the parties in the performance of the contract, they shall resolve them through friendly negotiations. If the negotiations fail, they shall submit the dispute to an arbitration institution for arbitration.
八、协议的变更、解释及终止
8. Amendment, Interpretation, and Termination of Agreement
8.1 本协议任何内容的变更或补充须经双方签署的书面协议，方为有效。
8.1 Any amendment or supplement to this agreement must be in writing and signed by both parties to be valid.
8.2 双方一致认为需要终止本协议，应提前____天书面通知对方，协商解决相关事宜。
8.2 If both parties agree to terminate this agreement, they shall provide a written notice to the other party __ days in advance and negotiate the related matters for settlement.
九、其他条款
9. Other Provisions
