Whereas Party A intends to transfer 100% equity of XX Company it holds, in order to clarify the rights and obligations of both parties, and after mutual consultation and agreement, this agreement is hereby formulated:
Article 1 Transfer Matters
1.1 Party A agrees to transfer 100% equity of XX Company to Party B as agreed conditions.

Article 3 Breach Responsibility

Article 4 Effectiveness and Interpretation
